Book excerpt: We investigate firms that sell assets to determine whether corporate governance mechanisms are effective at controlling agency problems. Our evidence shows that these firms have lower managerial ownership and are more likely to make unrelated acquisitions, suggesting weak internal controls. Analysis of insider trading activity shows that, on average, net buying increases before the asset sale and shareholders benefit more when this occurs. Results suggest that how managers reach a given level of ownership provides more information about incentive alignment than just the level of ownership. Our results also highlight the dynamic nature of corporate restructuring as firms acquire and then sell assets.

Book excerpt: We identify asset purchases and sales as channels through which both external and internal governance affect corporate decisions and shareholders wealth. Firms with more antitakeover provisions (ATPs) are significantly more likely to engage in asset purchases (instead of making efficient internal investments) and asset sales (rather than efficient internal restructuring of existing assets). The internal governance mechanisms of insider ownership reduce the likelihood of asset purchases and sales consistent with incentive alignment. Additional results reveal that (1) the likelihood of asset buys is decreasing in insider ownership, but only among larger firms, and (2) the likelihood of asset sales is increasing in institutional ownership, but only among less profitable firms. The unexpected purchasers and sellers with more ATPs experience lower abnormal announcement returns. Also, the announcement effect of asset buys is concave (increasing at a decreasing rate) in insider ownership, and convex in institutional ownership. We also document that just as in the case of buyers and sellers with more ATPs, higher insider and institutional ownership lead to lower post-deal idiosyncratic risk (and lower shareholder wealth), suggesting higher agency costs of managerial conservatism and opacity.

The analytical framework highlights the explicit and implicit protections that support effective governance. Data from international studies provide governance benchmarks against which the approach of privatization programs in developed, developing and transition economies can be compared. The evidence suggests that where privatization has been viewed as a success, policy makers have, for the most part, followed international governance benchmarks. Weak performance, in contrast, has been accompanied by insufficient attention to governance concerns in the initial privatization design. The paper identifies rationales for these initial deviations and explores miscalculations associated with these rationales. The paper ends with some tentative policy implications about privatization design and ways to address governance difficulties after privatization.

We find that strong union laws protect not only workers but also underperforming managers. Weak investor protection combined with strong union laws are conducive to worker-management alliances, wherein poorly performing firms sell assets to prevent large scale layoffs, garnering worker support to retain management. Asset sales in weak investor protection countries lead to further deteriorating performance, whereas in strong investor protection countries they improve performance and lead to more layoffs. Strong union laws are less effective in preventing layoffs when financial leverage is high.
