Book excerpt: A pesquisa apresenta a diversidade dos contratos internacionais de transferência de tecnologia, numa perspectiva do Direito Internacional Privado. Nesse sentido, abordam-se as categorias de transferência de tecnologia e a terminologia empregada referente a esses contratos. Uma vez analisado esses contratos, adentra-se nos contratos de know-how e na problemática do uso terminológico dessa modalidade contratual, bem como de sua relação com o segredo. A tese sustenta que segredo e know-how não são sinônimos e que o segredo é apenas um elemento do contrato de know-how; uma vez que a confidencialidade auxilia na restrição do conhecimento tecnológico que, conseqüentemente, leva a uma valorização do objeto contratual, ou seja, a tecnologia. A imprecisão terminológica acarreta uma imprecisão jurídica e uma dificuldade de aplicação das leis, nos diversos ordenamentos jurídicos, ao se considerar que a circulação de know-how está relacionada ao comércio internacional e a um mercado global. O equilíbrio entre a propriedade intelectual e os mecanismos imperativos dos ordenamentos nacionais será fundamental no processo de uniformização do Direito Internacional Privado, e na proteção dos conhecimentos sensíveis e de defesa nacional. O Direito espanhol foi utilizado na pesquisa como referencial para o Direito brasileiro, pelas características apresentadas por esse ordenamento, bem como pelo fato de o Estado espanhol estar inserido em um contexto comunitário supra-nacional, na medida em que se aplica na Espanha os Regulamentos comunitários sobre know-how, enquanto no Brasil ainda não há um ordenamento que sirva como parâmetro para a Mercosul, ainda em desenvolvimento. Por fim, aborda-se a aplicação de normas imperativas limitadoras do princípio da autonomia da vontade, nos conhecimentos que possam estar relacionados ao Direito Público Nacional, e a um ordenamento jurídico internacional.

Portanto, o caminho percorrido não está orientado unicamente à jurisdição e ao seu exercício, pois não se trata de estudo voltado à esfera abstrata do processo, mas, ao contrário, ao que os autores de direito internacional privado convencionaram chamar de justiça substancial, expressão que se concilia com a instrumentalidade propugnada por escolas processuais contemporâneas. O caminho escolhido é interdisciplinar. A tese demonstra a aproximação entre o direito material do trabalho, direito processual (conflito de jurisdições) e direito internacional privado (conflito de leis no espaço), de modo a compartilhar conceitos e aspirações, em busca da verdadeira justiça substancial (resultado justo para a relação jurídica material), e não apenas conflitual (solução segmentada, descompromissada com o resultado integral). Com essa preocupação interdisciplinar, a tese apresenta, de forma crítica, os critérios usualmente empregados para definir a jurisdição competente para os conflitos decorrentes de contratos internacionais de trabalho. Examina também questões específicas, como as repercussões da Emenda Constitucional n. 45/04, os problemas inerentes aos grupos econômicos, a litispendência internacional, o reconhecimento de sentença estrangeira, a prova e aplicação do direito estrangeiro.

"Wrap contracts" - shrinkwrap, clickwrap and browsewrap agreements - are non-traditional contracts that look nothing like legal documents. Contrary to what courts have held, they are not "just like" other standard form contracts, and consumers do not perceive them the same way. Wrap contract terms are more aggressive and permit dubious business practices, such as the collection of personal information and the appropriation of user-created content. In digital form, wrap contracts are weightless and cheap to reproduce. Given their low cost and flexible form, businesses engage in "contracting mania" where they use wrap contracts excessively and in a wide variety of contexts. Courts impose a duty to read upon consumers but don't impose a duty upon businesses to make contracts easy to read. The result is that consumers are subjected to onerous legalese for nearly every online interaction. In Wrap Contracts: Foundations and Ramifications, Nancy Kim explains why wrap contracts were created, how they have developed, and what this means for society. She explains how businesses and existing law unfairly burden users and create a coercive contracting environment that forces users to "accept" in order to participate in modern life. Kim's central thesis is that how a contract is presented affects and reveals the intent of the parties. She proposes doctrinal solutions - such as the duty to draft reasonably, specific assent, and a reconceptualization of unconscionability - which fairly balance the burden of wrap contracts between businesses and consumers.
