Book excerpt: This study examines a large sample of venture investments in public equities (VIPEs) in the biotechnology and pharmaceutical industry over the period 1995-2014. The results of the study are threefold. First, and contrary to widely held beliefs, there has been no significant increase in the number of VIPEs over time. In fact, both in terms of dollar amount as well as the number of VIPE transactions have actually went down post the record year in 2009. Second, this study documents that returns profiles from the public venture capital market share many similarities to the returns in the private VC market: few big winners, but overall a high loss rate. Approximately seven investments out of ten in public firms generate a loss. Third, the analysis of private investments in public equities shows that venture capitalists outperform other competitors, such as hedge funds and mutual funds. From a management perspective, venture investments in public equity provide several benefits including providing an additional source of potential funding, aligning the investment horizon of venture capitalists with other long-term investors, certifying the quality of the firm and contributing to the long-term success.

From the point of the investors, and therefore of the capital markets, the understandability of the segment biotechnology, and thus the availability of crucial information has to be ensured. Consequently the transparency of the biotechnology segment and of the individual enterprises, respectively, are the topics of the third chapter. Data included venture capital to biotech investments from 1995 to 2005. Venture capital and biotech data from the Money Tree Report, were gathered, analyzed, and mapped to show if a spatial relationship exists. The research examined venture capital investments at both the individual and the aggregated levels. At the individual level, the research examined whether the amount of investments a biotech company receives are influenced by physical distance to its closest investor, number of venture capitalists, time, region, sequence, company size, stage of development, etc. The research also included an aggregated study examining the changing patterns of investments in metropolitan areas. This research further enhances knowledge on the spatial distribution of investments.

Book excerpt: I propose that pre-IPO venture-backed biotech companies offer a productive new setting through which to discriminate among theories of why firm size and book-to-market explain variation in expected stock returns. This is because pre-IPO biotech firms have large and rapidly evolving growth options relative to assets-in-place. Such attributes align closely with the key features of Berk, Green and Naik's (1999) model of the endogenous relations between growth options, optimal investment actions and expected equity returns, where firm size and book-to-market emerge as sufficient statistics for the aggregate risk of a firm's assets-in-place. Using venture capital investments in pre-IPO U.S. biotech companies during 1992-2001, I find that equity returns between financing rounds (quot;round-to-roundquot; returns) are reliably negatively related to firm size and positively related to book-to-market ratios. These results are consistent with Berk, Green and Naik's theory. They are less consistent with competing explanations such as financial distress, behaviorally biased investors or data snooping.
