Book excerpt: In 2004, the Federal Trade Commission brought legal action retrospectively challenging the 2000 acquisition of Highland Park Hospital by Evanston Northwestern Healthcare in Evanston, Illinois. A major issue in the case was whether the merger had resulted in improved clinical quality at Highland Park. In this paper, we report the findings of our analysis of that issue. We examined numerous quantitative measures of clinical quality and found little evidence that the merger improved quality. We also describe the conceptual framework in which we evaluated the case-specific evidence, as well as the applicability of that framework to the prospective analysis of unconsummated hospital mergers.

In this book, John Kwoka, a noted authority on industrial organization, examines all reliable empirical studies of the effect of specific mergers and develops entirely new information about the policies and remedies of antitrust agencies regarding these mergers. Combined with data on outcomes, this policy information enables analysis of, and creates new insights into, mergers, merger policies, and the effectiveness of remedies in preventing anticompetitive outcomes. After an overview of mergers, merger policy, and a common approach to merger analysis, Kwoka offers a detailed analysis of the studied mergers, relevant policies, and chosen remedies. Although hospital consolidation can yield substantial cost and qualitative efficiencies, it can also harm competition by creating market power. Can the agencies and the courts strike the appropriate balance between the quality improvements a hospital merger brings and the risk of market power? Can they assess the quality improvements stemming from the hospital merger and weigh them against potential anticompetitive harm? And, if yes, how? These questions are not easy. However, this essay raises and examines them. Exploring the seminal US hospital merger cases, it underlines that the agencies, driven by the belief that healthcare is not special, focus more on the mergers' impact on prices and less on quality. It concludes that the agencies, by narrowing their analysis to the price concerns of a hospital merger, disincentivize merging parties from bringing quality of care arguments at the heart of the merger analysis and health policy researchers from developing research examining hospital mergers' impact on quality. It suggests that the Federal Trade Commission (FTC) should issue guidelines explaining what quality dimensions it values most on the basis of the main objectives of the US healthcare system and how these dimensions can be balanced against harm to competition.

Book excerpt: In the years since 2010, the US has experienced record levels of consolidation in the hospital industry. This paper examines the impacts of three specific Pennsylvania hospital acquisitions from 2013 on prices, markups for specific services, and quality of care. Difference-in-differences methodology is used to compare trends in the three acquired hospitals to a control group of hospitals located throughout Pennsylvania. My findings provide evidence that these three transactions resulted in higher markups on electrocardiograms (EKGs) and computerized tomography (CT) scans, as well as a decrease in quality of care, indicated by inpatient survey results. Results of price level regressions are insignificant, and no relationship between average price levels and the acquisitions is discernible.
