Book Good Faith in Long Term Relational Supply Contracts in the Context of Hardship from A Comparative Perspective

Download or read book Good Faith in Long Term Relational Supply Contracts in the Context of Hardship from A Comparative Perspective written by Peng Guo and published by Springer Nature. This book was released on 2021-11-09 with total page 198 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book provides fair and acceptable solutions to hardship issues in long-term relational supply contracts. This book uses an approach to strike a balance between the traditional approach underlying classical contract law which emphasises the almost absolute prevalence of the principle of pacta sunt servanda and a flexible approach that is based on the principle of clausula rebus sic stantibus. This book argues for an emerging principle of pacta sunt servanda bona fide on the basis of the relational contract theory. Additionally, this book demonstrates how good faith can serve as a foundation for imposing a duty to renegotiate on the parties. The aim of this book is rather to propose how relational contract theory can be applied to the analysis of specific legal rules in general. Lastly, this boos highlights how the duty to renegotiate and the power to adapt a contract can be further developed upon the occurrence of hardship, based on good faith and the relational nature and characteristics of a long-term relational supply contract. This book explores and enriches the existing research on relational contract theory concentrates primarily on its application in domestic contract laws, particularly in the regulation of long-term contracts in American contract law. As an outcome this book provides a more feasible and satisfactory approach for courts or arbitral tribunals to undertake when facing hardship issues in international contract disputes. Overall, hardship themes, long-term relational supply contracts and good faith are examined extensively.

Book The Organizational Contract

  • Author : Stefan Grundmann
  • Publisher : Routledge
  • Release : 2016-02-17
  • ISBN : 1317022181
  • Pages : 384 pages

Download or read book The Organizational Contract written by Stefan Grundmann and published by Routledge. This book was released on 2016-02-17 with total page 384 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book introduces and develops the paradigm of the organisational contract in European contract law. Suggesting that a more radical distinction should be made between contracts which regulate single or spot exchanges and contracts that organize complex economic activities without creating a new legal entity, the book argues that this distinction goes beyond that between spot and relational contracts because it focuses on the organizational dimension of contracting and its governance features. Divided into six parts, the volume brings together a group of internationally renowned experts to examine the structure of long-term contractual cooperation; networks of contracts; knowledge exchange in long-term contractual cooperation; remedies and specific governance rules in long-term relationships; and the move towards legislation. The book will be of value to academics and researchers in the areas of private law, economic theory and sociology of law, and organizational theory. It will also be a useful resource for practitioners working in international contract law and international business transaction law.

Book excerpt: Australia's prosperous energy and resources sector is founded on long term contracts. Long term contracts give rise to a variety of difficult conceptual and practical issues that must be confronted by commercial lawyers and energy and resource professionals on a daily basis, ranging from negotiation and documentation through to interpretation and breach.Questions as to the operation, nature, and effect of long term contracts will continue to assume central importance to Australia as a whole in circumstances where the Asian economies, particularly China, Japan, and India, are anxious for security of supply in relation to commodities. This book confronts some of the major issues under long term contracts from both legal and practical perspectives.

Book Life Time Contracts

Download or read book Life Time Contracts written by Luca Nogler and published by . This book was released on 2014 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book deals with lifetime contracts, a group of contracts which generally have the most important role to play in people's daily lives and existence. These contracts establish social long-term relations which, with regard to certain periods of the lifetime of individuals, provide essential goods, services, as well as labor and income opportunities for self-realization and participation. The book questions the general principles of European contract law built onto the classical model of sales contracts. It argues that a general life time contract should be integrated into the codification of modern private law, and it proposes a set of principles governing such social long-term relations. Divided in five parts (Introduction; Lifetime in Contract Law; Labor Contracts; Consumer Credit Contracts; and Residential Tenancy Contracts), the book is the result of annual discussion meetings that took place between 2006-2013. Twenty-one members of the EuSoCo.eu research group from eleven countries participated in a multi-cultural project to provide a contractual model for the credit and service economy of the 21st century.
