Book Japanese Corporate Finance and International Competition

Download or read book Japanese Corporate Finance and International Competition written by Masasuke Ide and published by Palgrave Macmillan. This book was released on 1998 with total page 194 pages. Available in PDF, EPUB and Kindle. Book excerpt: The central theme of this book is to demonstrate that the relationship is based financial system was the hidden key factor to explain Japan's phenomenal economic growth after WWII by providing low cost of capital to major Japanese companies as a powerful edge in the export market. The book compares and contrasts the Japanese financial system in detail to that of the US and emphasizes the importance of relationship driven share ownership structure and the stock market behavior which valued highly the low profitability of Japanese management. Through the international comparison of corporate profitability and cost of capital, the book develops a theoretical framework which shows how the financial system affects directly and indirectly international economic competition and the macroeconomic performance of nations. Then the book critically reassesses the traditional Japanese approach to economic value creation as a catch-up model, including the analysis of current major economic difficulties facing Japan.

Book Japanese Resistance to American Financial Hegemony

Download or read book Japanese Resistance to American Financial Hegemony written by Fumihito Gotoh and published by Routledge. This book was released on 2019-10-01 with total page 361 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book investigates why the convergence of Japan’s bank-centered financial system to an American-style capital market-based model has lost steam since the mid-2000s, despite financial deregulation during the 1980s and 1990s. Examining the ideational conflict within Japanese elites between the market liberalization and anti-free market camps, it scrutinizes the American and Japanese credit rating agencies operating in Tokyo and explores the differences between the two major industrial associations, Keidanren and Doyukai, which have played a key role as "ideational platforms" for Japanese corporate society. The book emphasizes the concept of "systemic support", whose broadened definition incorporates dominant elites’ support and protection of subordinates in exchange for the latter’s obedience and loyalty. It argues that Japanese society’s anti-liberal, anti-free market norms centered on systemic support are a form of counter-hegemony, and this has resisted American financial hegemony, promoting international capital mobility and capital markets, and prevented capitalist dominance from severing long-term social ties such as management-labor cooperation and corporate group alliances. Yet this resistance has generated growing problems for Japan. With a focus on social norms, bureaucracy, credit rating agencies, industrial associations and corporate governance, this book will provide useful insights for scholars and students of international political economy, sociology, cultural studies, and business studies.

Book Corporate Governance and Managerial Reform in Japan

Download or read book Corporate Governance and Managerial Reform in Japan written by D. Hugh Whittaker and published by OUP Oxford. This book was released on 2009-10-29 with total page 316 pages. Available in PDF, EPUB and Kindle. Book excerpt: Japanese corporate governance and managerial practice is at a critical juncture. At the start of the decade pressures mounted for Japan to move to a shareholder-value driven, 'Anglo-American' system of corporate governance. Subsequent changes, however, may be seen as an adjustment and renewal of the post-war model of the Japanese firm. In adapting to global corporate governance standards, Japanese managers have also been reshaping them according to their own agenda of reform and restructuring of decision-making processes. The board's role is seen in terms of strategic planning rather than monitoring, and external directors are viewed as advisers, not as representatives of the shareholders. Managers have adopted a variety of defences against hostile takeovers, including poison pills in some cases. Although shareholder influence is more extensive than it was, central aspects of the Japanese 'community firm' remain in place. The commitment to stable or 'lifetime' employment for a core of employees, although coming under severe pressure, is still an important point of reference for Japanese management. Corporate Governance and Managerial Reform in Japan is based on detailed and intensive field work in large Japanese companies and interviews with investors, civil servants, and policy makers in the period following the adoption of significant corporate law reforms in the early 2000s up to the months just before the global financial crisis of 2008. The Japanese experience suggests that there are limits to the global convergence of company law systems, and that the widespread association of Anglo-American practices with the 'modernization' of corporate governance has been misplaced. This conclusion is unlikely to be altered - it may be reinforced - by reactions to the financial crisis.
