Book excerpt: The paper examines the effectiveness of mergers as used by the corporate bodies as one of the strategic tools in improving post-merger financial performance. A comparative analysis of some selected Indian pharmaceutical companies' pre- and post-merger financial performance was conducted on the basis of different financial parameters. Exact binomial tests, nonparametric Mann-Whitney tests and nonparametric Wilcoxon signed rank tests were performed on the collected data. The study concludes that mergers are not so effective in making a useful contribution to improving the post-merger financial performance of the selected companies.

In this backdrop, the present study is an attempt to examine the post-merger operating and financial performance of some selected Indian pharmaceutical companies that have gone through the process of M&As during 2000 to 2007 on the basis of some financial parameters in order to observe whether the process of M&As had left any significant impact on the post-merger operating and financial performance of the acquirers selected in the sample.

A firm should ensure that it does not suffer from lack of or excess liquidity to meet its short- term compulsions. The critical part in managing working capital is maintaining its liquidity in day-to-day operation to ensure its smooth running and to meet its obligations. Hence, it is of utmost importance to keep a constant eye on liquidity position of the company as without it the company cannot survive. The present paper aims to analyze the liquidity position of the selected pharmaceutical companies by making use of liquidity ratios such as current ratio, quick ratio and absolute liquid ratio for the period 2012-2016. Short term creditors are mainly interested in the liquidity position of the firms to know the promptness of company to meet its current liabilities. The result shows that among the five selected pharmaceutical companies, i.e. Ajanta Pharma, Biocon Ltd, Torrent Pharma, Ipca labs and Lyka labs., the liquidity position of Ajanta Pharma is best as far as current ratio and quick ratio are concerned but when absolute liquid ratio is concerned, mixed results are found. The techniques of Motaal's ultimate rank test have been applied to analyze the data. For the purpose of investigation, purely secondary data is used. Moreover, low or negative working capital in some cases indicates the aggressive working capital management policy of the firms which implies minimal investment in current assets by the companies so as to derive a higher rate of return. But it has to be remembered that the risk of default and bankruptcy increases when a firm adopts more aggressive working capital polices. One should remember that a negative working capital is a sign of managerial efficiency in a business with low inventory in accounts receivable, while in other situation, it is a sign that a company may be facing bankruptcy or serious financial trouble. Our study reveals that Biocon is at rank - 1 indicating that it is most liquid company among the five companies.

In such a crucial juncture, even giants in the corporate arena keep hunting for strategies of stable growth along with the objective of ensuring sustainability. One of the most effective options in this context turns out to be M&As. In this landscape the present paper makes an attempt to examine the operating performance of the top mergers of India emerged in 2007. Considering 6 out of the 10 such top mergers the paper has compared the operating performance ratios of merging companies before and after merger. It has been found that except one company i.e. Tata Steel, in all the rest five companies, the operating performance measured in terms of operating profit margin, gross profit margin and net profit margin ratio has declined after merger.

Book excerpt: This research of corporate strategy analysis implements comparative analysis and benchmarking to analyse and examine the corporate strategy of the pharmaceutical sectors of 4 international pharmaceutical companies. This research adopts the hybrid approach of combining qualitative and quantitative methods in a two stages research design. Quantitative method is applied first to deal with the comparative figures, and then qualitative method is used to find out the problem. The design of this multiple research includes three phases: data collection, analysis, and reporting. The findings of this research can be divided into 4 parts: R&D/marketing, technology alliances, strategic acquisitions and merger, and manufacturing. The drug innovative projects are recommended being developed within the company's familiar therapeutic areas in order to take its marketing advantage. Through this comparative analysis, some of this type of problems of these international pharmaceutical companies is identified. A big pharmaceutical company forming alliances with some small biotechnology companies has become a trend within pharmaceutical industry since 1980s. For pharmaceutical companies, to take advantage of R&D through biotechnology is the main purpose of alliances with small biotechnology companies. It is important to note that most pharmaceutical acquisitions belong to the type of absorption with high resource transferring and low autonomy. Due to the high profit margin and the essential importance of R&D and marketing, the operation management of manufacturing of pharmaceutical industry is relatively poor. The low asset utilisation rate pointed out this problem. Academic researches have revealed that existing theories of operation management of manufacturing, such as action research, set-up reduction, teamwork, continuous improvement, collaboration, and involvement, are applicable and beneficial to pharmaceutical industry rather than waiting for the technology breakthroughs.

The Pharmaceutical companies selected for study are Lupin, Wochkardt, Glenmark, Abott and Torrent. The financial performance of these companies are evaluated and found that the profitability of the selected pharmaceutical companies in India during the study period is satisfactory.

Many big companies continue to exist today after passing through various forms of restructurings, including M&As. The present study is carried out on a sample of 47 firms listed in Indian stock exchanges which have undergone M&A during April 1, 2008-March 31, 2009. The study captures the impact of M&A on liquidity, profitability, operating performance and leverage of sample merged/acquirer companies using ratio analysis and t-test. The financial ratios used in the study are Current Ratio, Quick Ratio, Gross Profit Ratio, Net Profit Ratio, Return on Assets, Return on Capital Employed, Debtors Turnover Ratio, Fixed Assets Turnover Ratio, Total Assets Turnover Ratio, Debt Equity Ratio and Interest Coverage Ratio. The study proves that there is a significant improvement in the liquidity, profitability, operating performance and financial leverage for a few merged/acquirer firms. M&As in the Indian corporate firms over a period of April 2008-March 2009 have had negative effects on the profitability in a majority of the cases.
