Daher sind insbesondere seit mehr als zehn Jahren vermehrt Forderungen von Seiten der Politik, wie auch von Seiten der Öffent-lichkeit nach einer Erhöhung des Frauenanteils insbesondere in der Unternehmensleitung/-überwachung wahrzunehmen. In der aktuellen wissenschaftlichen bzw. auch öffentlichen Diskussion werden zunehmend zwei verschiedene Argumentationsebenen vermischt. Zum einen wird eine stärkere Präsenz von Frauen in Vorständen und Aufsichtsräten (V/AR) aus Gleichstellungsgründen und der Forderung nach mehr Einbezug in die wirtschaftlichen Entscheidungsprozesse erhoben. In dieser gesellschaftspolitischen Sichtweise stellt ein höherer Frauenanteil einen Wert an sich dar. Zum anderen werden Argumente angeführt, dass Unternehmen mit stärkerer Repräsen-tanz von Frauen in Aufsichts-/Führungsgremien eine bessere Performance zeigen würden. In dieser betriebswirtschaftlichen Sichtweise wird hingegen eine Sicherung bzw. Qualitätssteige-rung der Unternehmensführung/-überwachung gesehen (BCCG 2010, 2786). Diese Diskussi-onen brachten noch kein Patentrezept hervor, weshalb auch alle Länder unterschiedlich mit diesem wirtschafts-, sozial- aber auch familienpolitischen Sachverhalt umgehen. In Deutsch-land haben sich infolge des öffentlichen und politischen Drucks sowie hinsichtlich Gleichbe-rechtigungsbestrebungen v. a. drei Lösungsmöglichkeiten herauskristallisiert. Zu diesen zäh-len gezielte Förderprogramme für Frauen, die Verabschiedung von Frauenquoten wie auch die Aufnahme von Diversity-Grundsätzen in die corporate governance codizes. Nun stellt sich die Frage, inwieweit diese im Rahmen guter corporate governance vorteilhaft sind. Diese reale und tagesaktuelle Problematik wird auch von den Wissenschaftlern/-innen ver-ständlicherweise emotional behandelt. Daher hat die vorliegende Arbeit den Anspruch, eine sachliche Diskussionsgrundlage darzustellen, in der versucht wird, sich der Thematik (gen-der) diversity allein auf Basis wissenschaftlicher Erkenntnisse sich anzunähern.

By taking a longitudinal and prospective view rather than retrospective and snapshot, it provides deep analysis of how the board appointment process is gendered. Book excerpt: We examine the role and influence of female directors in high risk strategic board decision-making by applying critical mass theory to mergers' and acquisitions' decisions of Fortune 100 corporations. Applying critical mass theory, we analyze whether behavioral differences manifest themselves in the decision-making of women directors when the board of directors consists of a certain percentage of women. We hypothesize that women, as a minority group of directors, engage in less discussion and debate on high risk strategic board decisions (and thus vote with the majority on such matters) in the absence of a critical mass of women directors. We conclude that the tipping point for critical mass is proportional at thirty percent, and having a critical mass of women on corporate boards of directors is generally important for women director discussions and debates in high risk strategic board decisions.

Book excerpt: Both the practitioner and academic communities have voiced strong opinions regarding the progress of women in reaching the executive suite and the corporate boardroom. Proponents on each side of the current debate offer evidence suggesting the accuracy of their respective positions. One view holds: "The fight is over. The battle is won. Women are now accepted as outside directors in the preponderance of corporate boardrooms" (Lear, 1994: 10). An alternative perspective, however, suggests there is much progress left. An illustration of the type of remaining barriers is provided by T. J. Rodgers, chief executive officer (CEO) of Cypress Semiconductor Corp. , who has commented that "a 'woman's view' on how to run our semiconductor company does not help us" (Rodgers, 1996: 14). Regardless of where one falls along the spectrum anchored at one end by the view that women have made substantial progress in reaching the upper echelons of corporations and anchored at the other end by the view that women have barely begun to penetrate the "inner sanctum" of corporations, the central issue is the extent to which women have succeeded in cracking the proverbial "glass ceiling. " The glass ceiling is a metaphorical barrier which prevents women from attaining the upper-most organizational positions (e. g. , Karr, 1991; Morrison, White, Van Velsor, and the Center for Creative Leadership, 1992; Powell & Butterfield, 1994; U. S. Department of Labor, 1991).

Book excerpt: Since the financial crisis 2008/09, gender diversity has been developed as one of the key board composition variables. From a research, regulatory and practical perspective, women on board of directors (WOBD) should contribute to a sustainable strategic management with regard to the increased stakeholder demands on social and environmental issues. In view of this recent discussion, this literature review evaluates 200 empirical research studies on the impact of WOBD on corporate governance quality and firm performance. We briefly introduce the theoretical and empirical WOBD framework that comprises an adequate structure of the state-of-the-art of empirical research in this field. This is followed by a discussion of WOBD effectiveness which aims to enhance corporate governance quality, and is divided into the following areas: (1) financial reporting; (2) corporate social responsibility (CSR) reporting; (3) audit and (4) corporate philanthropy. We will then evaluate the impact of WOBD on:(5) financial performance and (6) CSR performance. Therefore, we state that WOBD effectiveness will positively influence both financial and CSR outcome. Furthermore, we will summarize the key findings in each area, and provide a description of the analyzed proxies for corporate governance quality and firm performance. Finally, we will discuss the limitations of the studies and give useful recommendations for future empirical research activities in this topic.

Scholars advocate that women are more risk-averse, more engaged with longer-term issues and tend to draw more attention to governance and ethics. Thus, it is suggested that due to the behavioural differences between men and women, more gender-balanced boards would have prevented a number of financial collapses. This assertion has triggered more detailed analyses of current statistics for women on boards in the European Union. A number of states have implemented various non-binding measures for improving female representation on boards. This brought them acclaim, yet no discernible results. Should we indeed insist to have gender-balanced boards, we need quotas. Evidence is of strong support.

The purpose of this volume is to explore the complexity of issues related to increasing the number of women on boards of directors around the world: how these issues have been understood; how they have been more and less successfully addressed in different countries and industries; and how they are similar, and yet different, as a results of cultural and legal differences. In the Introduction and 18 chapters included in this book, 42 researchers, activists, and practitioners who were raised or work today in at least 17 countries on 6 continents seek to answer the questions: “Why have women on boards?” “Why is adding women to boards so challenging?” “What actions increase the number of women on boards?” and “What can we learn from situations where there are women board members?” In seeking to answer these questions, the authors summarize previously existing research and share the results of their own recent qualitative and quantitative research studies conducted in many different countries. Both “fix the woman” and “fix the society” challenges and solutions are explored. Stories of women who have successfully joined and, in many cases, led boards of directors are shared. It is clear to us, and we believe will be clear to those who read this book, that there is no single program that will lead to gender equality on boards; however we believe that the authors in this volume provide a rich variety of research and well supported suggestions for addressing the challenges. When local cultures are considered and multiple suggestions implemented as appropriate, we are confident we will, together, increase the number of women on boards throughout the world.

Book excerpt: In this article we offer an empirical test of the critical mass arguments in the discussion of women on corporate boards. The literature in the women on corporate board debate concludes that there must be at least three women on a board before the women really make a difference. These arguments are frequently used in the public debate about the understanding the impact of women on corporate boards, but they have never really been empirically tested on a large sample. In this paper we use a sample of 317 Norwegian firms. Our dependent variable is board strategic involvement. The findings support the critical mass arguments. This study offers useful insights to policy-makers interested in defining legislative measures mandating the presence of women directors in corporate boards by showing that “at least three women” may be particularly beneficial in terms of contribution to board strategic tasks.
