Book excerpt: This study seeks to examine board structure and its relationship and impact on the listed companies' performance in USA. A cross-sectional and correlational research design with a sample of 100 listed companies in USA was used. Correlation analysis was carried out to establish the relationship between the variables. Multiple regression analyses were used to determine the extent to which variations in performance of companies are explained by the board structures. The findings portrayed that high frequency of meetings adversely affects the company performance, whereas combined board leadership structure positively contributes to company performance which is contrary to the agency theory expectations. Other than that, it can be concluded that financial performance is independent of board size and composition. It is highly recommended that future research should be focused on nonfinancial aspects of performance in order to get a holistic performance view rather than restricting to accounting-based performance, which is based on accounting principles and assumptions since this provides evidence for future success through overall stakeholder satisfaction. Furthermore, an intense understanding of corporate governance structures and their relations with company performance has the potential to assist practitioners, both policy makers and researchers, to improve governance.

A well-structured board can effectively monitor and motivate management of a company for the benefit of the company's shareholders. This paper investigates the relationship between board structure and firm performance using a sample of 490 publicly listed firms in China. The characteristics of board structure we examined include: board size, inside/outside/independent directors, CEO/Chair duality, stock holdings of directors, the rewards to directors and aged directors. We find significant relationship between firm performance and three characteristics: the rewards to director, the stock holdings of directors and the existence of independent directors. We also find political influences on the effectiveness of boards. When state ownership is more than 50% (state-dominating), rewards and stock holdings of directors are useful. When state ownership is less than 50% (non-state-dominating), the existence of independent directors takes effects. In addition, our analyses indicate that state ownership affects firm performance. State ownership is positively related to firm performance in state-dominating group while negatively related to firm performance in non-state-ownership group.

This paper constructs a new database on the ownership of banks internationally and then assesses the ramifications of ownership, shareholder protection laws, and supervisory/regulatory policies on bank valuations. Except in a few countries with very strong shareholder protection laws, banks are not widely held, but rather families or the State tend to control banks. We find that (i) larger cash flow rights by the controlling owner boosts valuations, (ii) stronger shareholder protection laws increase valuations, and (iii) greater cash flow rights mitigate the adverse effects of weak shareholder protection laws on bank valuations. These results are consistent with the views that expropriation of minority shareholders is important internationally, that laws can restrain this expropriation, and concentrated cash flow rights represent an important mechanism for governing banks. Finally, the evidence does not support the view that empowering official supervisory and regulatory agencies will increase the market valuation of banks"--NBER website

Book excerpt: Corporate governance, a subject that a few decades ago escaped the attention of all but a handful of academics and shareholders, has gradually become a central concern worldwide. This book contributes to the existing literature on the structure and effectiveness of corporate boards. It comprises three topics that address distinct research questions on board structure, the deployment of board resources to monitoring and advisory duties, and the use of equity-based incentives in the compensation packages of directors. Firstly, the book provides strong new evidence on the importance of corporate board functions in value creation. Secondly, it provides some evidence of the potential conflict between the two primary functions of corporate boards. The results indicate that while the board’s advising quality weakens when the board is principally devoted to monitoring duties, the presence of advisory directors on the board does not have any impact on the effectiveness of board oversight, which offers a more complete view on the tradeoffs between the board’s two major functions. Finally, the results suggest that the closer directors' compensation is tied to the firm's stock, the more consistent corporate acquisition decisions are with shareholder interests.

It investigates the institutional characteristics of State-linked and State-owned firms (SIEs & SOEs), in emerging markets using Vietnam as a case study with comparative analysis on China and selected ASEAN countries. In doing so, the book adopts an evidence-based approach to explain the State’s role as a shareholder in the different aspects of corporate governance, including CEO appointment, board structure and impact of State ownership on business strategy and performance. It highlights the influence of the State as a shareholder by investigating institutional factors consistent with “path dependence” theory, which postulates that the initial and underlying structure of an economy influences its performance. In addition, the book presents empirical evidence of the dynamics of corporate governance arising from interactions between the State and other shareholders, which has not yet been addressed in the literature, and is distinctive in providing new insights from both qualitative and empirical research on how to successfully navigate the emerging market business environments from the perspective of the State as an “owner-participant”.
