Book excerpt: As people crowded into British cities in the nineteenth century, industrial and biological waste byproducts and then epidemic followed them. Britons died by the thousands in recurring plagues. Figures like Edwin Chadwick and John Snow pleaded for measures that could save lives and preserve the social fabric. The solution that prevailed was the novel idea that British towns must build public water supplies, replacing private companies. But the idea was not an obvious or inevitable one. Those who promoted new waterworks argued that they could use water to realize a new kind of British society—a productive social machine, a new moral community, and a modern civilization. They did not merely cite the dangers of epidemic or scarcity. Despite many debates and conflicts, this vision won out—in town after town, from Birmingham to Liverpool to Edinburgh, authorities gained new powers to execute municipal water systems. But in London local government responded to environmental pressures with a plan intended to help remake the metropolis into a collectivist society. The Conservative national government, in turn, sought to impose a water administration over the region that would achieve its own competing political and social goals. The contestants over London's water supply matched divergent strategies for administering London's water with contending visions of modern society. And the matter was never pedestrian. The struggle over these visions was joined by some of the most colorful figures of the late Victorian period, including John Burns, Lord Salisbury, Bernard Shaw, and Sidney and Beatrice Webb. As Broich demonstrates, the debate over how to supply London with water came to a head when the climate itself forced the endgame near the end of the nineteenth century. At that decisive moment, the Conservative party succeeded in dictating the relationship between water, power, and society in London for many decades to come.

Book excerpt: This book advances a real entity theory of company law, in which the company is a legal entity which acts autonomously in law, and company law establishes procedures facilitating autonomous organisational decision-making. The theory builds on the insight that organisations or firms are a social phenomenon outside of the law and that these are autonomous actors in their own right. They are more than the sum of the contributions of their participants and they act independently of the views and interests of their participants. This occurs because human beings change their behaviour when they act as members of a group or an organisation; in a group we tend to develop and conform to a shared standard, and when we act in organisations habits, routines, processes, and procedures form and a culture emerges. These take on a life of their own affecting the behaviour of the participants. Participants can affect organisational behaviour but this takes time and effort. Company law finds this phenomenon and supplies it with a structure supporting autonomous action by organisations. The real entity theory advanced in this book explains company law as it stands at a positive level. Legal personality overcomes the problems that organisations are social rather than brute facts and that there is no unique physical manifestation permanently associated with an organisation. The corporate constitution is not a contract - it is best characterised as an instrument adopted on a statutory basis through private action. Shareholders cannot limit the capacity of companies or the authority of the board to bind the company in contract and companies are liable in tort and crime. The statute creates roles for shareholders, directors, a company secretary, and auditors and so facilitates a process leading to organisational action. The law also integrates the interests of creditors and stakeholders.

Such illegal piracy, combined with proposals arising from the Hargreaves review to introduce copyright exceptions, and a failure to strengthen copyright enforcement as envisaged by the Digital Economy Act 2010, together threaten the livelihoods of the individuals and industries that contribute over £36 billion annually to the UK economy. Also, the Olympics No Marketing Rights scheme is excessively restrictive and is preventing British creative companies from realising the benefits they deserve from the Olympic legacy. The Committee calls for: a central champion of Intellectual Property in Government to promote and protect the interests of UK intellectual property; the maximum penalty for serious online IP theft to be increased to 10 years imprisonment, in line with the punishment for such offences in the physical world; more evidence and scrutiny before any exceptions to copyright such as those suggested by Hargreaves are applied; redoubled efforts to ensure that the video games tax credit is approved by the European Commission and introduced as soon as possible; reforms to the income tax and tax reliefs systems to recognise adequately the freelance nature of much creative work; greater recognition of the importance of arts subjects in the curriculum.
