Book excerpt: The research investigates the impact of age, education, experience, gender, board size, and composition on the sustainability of German cooperative banks. These banks are vital for the German financial system and have significant regional importance. The research reveals that the age of executive board members and board size correlate with the bank’s long-term performance. Banks with older executive board members tend to perform less effectively over time. Additionally, employing more than the legally required two executive board members negatively affects the bank’s medium- and long-term performance. The study’s results contribute to various management theories and can aid supervisory boards in selecting new executive board members based on performance criteria. Die Forschungsarbeit untersucht, wie Alter, Ausbildung, Erfahrung, Geschlecht, sowie Zusammensetzung und Größe des Vorstandsgremiums das langfristige Überleben deutscher Genossenschaftsbanken beeinflussen, welche aufgrund sinkender Gewinnmargen vom „Aussterben“ bedroht sind. Diese Banken spielen eine bedeutende Rolle im deutschen Wirtschafts- und Finanzsystem. Neben der Abwicklung wichtiger Zahlungstransaktionen sind sie bedeutende Arbeitgeber. Darüberhinaus spielten sie während der Finanzkrise 2007/2008 eine entscheidende Rolle bei der Unterstützung des europäischen Bankensystems. Die agierenden Vorstände dieser Genossenschaftsbanken haben einen erheblichen Einfluss auf den Geschäftserfolg. Es wurden empirische Daten zu den soziodemographischen Faktoren der Vorstandsmitglieder, der Vorstandszusammensetzung, -größe und der Bruttogewinnmarge über 5 und 10 Jahre gesammelt und statistisch analysiert. Die Ergebnisse zeigen Zusammenhänge zwischen dem Alter der Vorstandsmitglieder, der Vorstandszusammensetzung und der Bruttogewinnmarge über die angegebenen Zeiträume. Diese Forschungsarbeit trägt zu verschiedenen Managementtheorien bei. Darüber hinaus bietet sie praktische Entscheidungskriterien für Aufsichtsräte bei der Auswahl neuer Vorstandsmitglieder.

Book excerpt: This study employs a system GMM framework to examine the impact of potential regulatory intervention regarding the occupations of supervisory board members in cooperative banks. To achieve insights the study proceeds in two different ways. First, the author investigates the changes in board structure prior and following to the German Act to Strengthen Financial Market and Insurance Supervision (FinVAG). Second, the author estimates the influence of Ph.D. degree holders and occupational concentration on bank-risk changes in consideration of the implementation of FinVAG. Therefore, the sample consists of 246 German cooperative banks from 2006-2011. Regarding bank-risk the author applies four different measures: credit-, equity-, liquidity-risk and the Z-Score, with the former three also being addressed in FinVAG. Results indicate that the implementation of FinVAG results in structural changes in board composition, especially at the expense of farmers. In addition, the implementation affects all risk-measures and relations between risk-measures and supervisory board characteristics in a risk-reducing and therefore intended way.To disentangle the complex relationship between board characteristics and risk measures the study utilizes a two-step system GMM estimator to account for unobserved heterogeneity, and simultaneity in order to reduce endogeneity problems. The findings may be especially relevant for stakeholders, regulators, supervisors and managers.

Book excerpt: Since the financial crisis 2008/09, gender diversity has been developed as one of the key board composition variables. From a research, regulatory and practical perspective, women on board of directors (WOBD) should contribute to a sustainable strategic management with regard to the increased stakeholder demands on social and environmental issues. In view of this recent discussion, this literature review evaluates 200 empirical research studies on the impact of WOBD on corporate governance quality and firm performance. We briefly introduce the theoretical and empirical WOBD framework that comprises an adequate structure of the state-of-the-art of empirical research in this field. This is followed by a discussion of WOBD effectiveness which aims to enhance corporate governance quality, and is divided into the following areas: (1) financial reporting; (2) corporate social responsibility (CSR) reporting; (3) audit and (4) corporate philanthropy. We will then evaluate the impact of WOBD on:(5) financial performance and (6) CSR performance. Therefore, we state that WOBD effectiveness will positively influence both financial and CSR outcome. Furthermore, we will summarize the key findings in each area, and provide a description of the analyzed proxies for corporate governance quality and firm performance. Finally, we will discuss the limitations of the studies and give useful recommendations for future empirical research activities in this topic.

Using a sample of 73 banks from 11 European countries, we examine the relationship between corporate governance measures more specifically the board size and composition, the gender diversity and the CEO duality on the European bank performance. During the period 2002-2011, our results show that the board size and the gender diversity have a positive and significant impact on bank performance. Large board of directors with more female members led to better bank performance, whereas, the board composition and the CEO duality have no significant effect in explaining the bank performance for the European countries. During the global financial crisis, our findings show that the board size and the board composition are negatively and significantly correlated to the bank performance. Smaller boards of directors with less number of independent (non-executive) directors have outperformed the ones with larger boards and more independent directors during the crisis. However, the gender diversity and the CEO duality have no significant impact on the European bank performance.

Book excerpt: Whereas banks operate under different management, board of directors, ownership structures, and government regulations, there is no specific optimal corporate governance model that may be applied to all banks. This study investigates the effect of internal corporate governance mechanisms such as board structure, ownership structure, and audit function as well as other variables such as bank size and bank age on bank financial performance. The sample of the study comprises of both conventional and Islamic banks operating in the seven Arabian Peninsula countries, namely Yemen and the Gulf Cooperation Council (GCC) countries, Bahrain, Kuwait, Oman, Qatar, Saudi Arabia, and United Arab Emirates. Regression analysis (OLS) is used to test the aforementioned effect. The results of this study reveal that there is a significant relationship between corporate governance and bank profitability. Board meetings and bank age have positive and significant effects on ROE. Meanwhile, board independence and bank size have negative and significant effects on ROA. In addition, while bank age and board committees have positive effects on Profit Margin, ownership concentration has a negative effect on this profitability measure. These results are consistent with previous studies. However, the literature indicate that the correlation between corporate governance and bank performance is still not clearly established and that impact of corporate governance on bank financial performance in developing countries is still relatively limited.

Book excerpt: Using a new dataset, we measure the large gap between the representation of men and women in leadership positions in banks and bank supervision agencies worldwide. Women occupied less than 2 percent of bank CEOs positions, and less than 20 percent of the board seats in more than 80 percent of the observations across banks over time. Contrary to common perceptions, many low- and middle-income countries have a higher share of women in bank boards and banking supervision agency boards compared to advanced economies. Econometric analysis suggests that, controlling for relevant bank and country-specific factors, the presence of women as well as a higher share of women on bank boards is associated with greater bank stability, as represented by higher z-scores and lower nonperforming loan ratios. We also examine the share of women on boards of banking supervision agencies by compiling a new dataset. We find that it is associated with greater bank stability. Further research is needed to identify specific mechanisms through which these stability benefits are achieved, and to understand the conditions that have facilitated entry of women into leadership roles in banks and supervision agencies.

A stone when struck resists. If its resistance is greater than the force of the blow struck, it remains outwardly unchanged. Otherwise, it is shattered into smaller bits. Never does the stone attempt to react in such a way that it may maintain itself against the blow, much less so as to render the blow a contributing factor to its own continued action. While the living thing may easily be crushed by superior force, it none the less tries to turn the energies which act upon it into means of its own further existence. If it cannot do so, it does not just split into smaller pieces (at least in the higher forms of life), but loses its identity as a living thing. As long as it endures, it struggles to use surrounding energies in its own behalf. It uses light, air, moisture, and the material of soil. To say that it uses them is to say that it turns them into means of its own conservation. As long as it is growing, the energy it expends in thus turning the environment to account is more than compensated for by the return it gets: it grows. Understanding the word "control" in this sense, it may be said that a living being is one that subjugates and controls for its own continued activity the energies that would otherwise use it up. Life is a self-renewing process through action upon the environment.
