Book excerpt: In this we paper we explain why maximizing shareholder value should be the sole objective function for governing the corporation and why that objective function is, on balance, good for all stakeholders. Shareholder value maximization is the ideal corporate goal because it is the best among all available alternatives for governing the corporation and, therefore, one that makes the most sense for managers formulating and implementing strategy. We construct a set of five normative arguments for the shareholder value maximization view. To support our position we trace the origins of the corporate governance debate from the late nineteenth century and its resulting implications for accepted corporate law and practice of corporate governance in the United States. We examine the debate as reflected in the shareholder/stakeholder arguments in the management and strategy literatures, and the contractarian/communitarian arguments as reflected in the legal literature.

Book excerpt: The corporate objective, namely in whose interests should a company be run, is the most important theoretical and practical issue confronting us today, as the core objectives animate or should animate every decision a company makes. Despite decades of debate, there is no consensus regarding what the corporate objective is or ought to be. Contrary to the widely held belief that the corporate objective should be shareholder wealth maximization (SWM), this article seeks to demonstrate that SWM is unsuitable by exploring its main problems. As an antithesis to SWM, the stakeholder theory generally emerges and develops to be an alternative. Justifications will be offered from different aspects. In particular, its advantages in solving short-termism and externalization compared with SWM will be focused on.

However, they fall short in making a case against the logic of shareholder value maximization. The authors confound issues of value and values, ignore the rich history of scholarship on related questions, and perhaps misinterpret some of our core arguments. Most importantly, proponents of stakeholder views such as Freeman et al. appear to be unable to go beyond critiques of the shareholder view by failing to offer an empirically supportable alternative theory.
