Book excerpt: The intervention by the Swiss Federal Council when Swisscom, the country's former monopolistic and still partly government-owned telecommunications provider, wanted to acquire its Irish counterpart showed that conflicts of interest can arise in a government-linked company, especially if the stake is directly owned by the government like in Switzerland. Singapore, a comparable country to Switzerland, also has many government-linked companies. Most of them are privatized and listed on the stock exchange, but the Singaporean Government still holds some stakes in them through state-owned holdings companies. These state-owned holding companies' policy is to act as a financial investor; therefore conflicts of interest can be reduced to a minimum. This master's thesis wants to inquire further how good corporate governance procedures in government-linked companies are and how far the governments have an influence on these companies. For this purpose a comparative case study was conducted by comparing the two biggest government-linked companies in Switzerland and Singapore, the two telecommunications providers Swisscom and SingTel. The study assessed criteria in regard to corporate governance such as board conduct, disclosure, and the role of the major shareholder (i.e. the government). The results showed good practices of corporate governance in both companies, which can also be attributed to the good corporate governance regulations in these countries. Areas for improvement included improvement of the corporate governance culture, sharpening of the role of the board within the company, fostering increased voluntary disclosure, and clarifying the role of the government in the government-linked companies.
