Download or read book Prosecutors in the Boardroom written by Anthony S. Barkow and published by NYU Press. This book was released on 2011-04-18 with total page 288 pages. Available in PDF, EPUB and Kindle. Book excerpt: Who should police corporate misconduct and how should it be policed? In recent years, the Department of Justice has resolved investigations of dozens of Fortune 500 companies via deferred prosecution agreements and non-prosecution agreements, where, instead of facing criminal charges, these companies become regulated by outside agencies. Increasingly, the threat of prosecution and such prosecution agreements is being used to regulate corporate behavior. This practice has been sharply criticized on numerous fronts: agreements are too lenient, there is too little oversight of these agreements, and, perhaps most important, the criminal prosecutors doing the regulating aren’t subject to the same checks and balances that civil regulatory agencies are. Prosecutors in the Boardroom explores the questions raised by this practice by compiling the insights of the leading lights in the field, including criminal law professors who specialize in the field of corporate criminal liability and criminal law, a top economist at the SEC who studies corporate wrongdoing, and a leading expert on the use of monitors in criminal law. The essays in this volume move beyond criticisms of the practice to closely examine exactly how regulation by prosecutors works. Broadly, the contributors consider who should police corporate misconduct and how it should be policed, and in conclusion offer a policy blueprint of best practices for federal and state prosecution. Download or read book Interpreting Slavery at Museums and Historic Sites written by Kristin L. Gallas and published by Rowman & Littlefield. This book was released on 2014-12-23 with total page 149 pages. Available in PDF, EPUB and Kindle. Book excerpt: Interpreting Slavery at Museums and Historic Sites aims to move the field forward in its collective conversation about the interpretation of slavery—acknowledging the criticism of the past and acting in the present to develop an inclusive interpretation of slavery. Presenting the history of slavery in a comprehensive and conscientious manner is difficult and requires diligence and compassion—for the history itself, for those telling the story, and for those hearing the stories—but it’s a necessary part of our collective narrative about our past, present, and future. This book features best practices for: Interpreting slavery across the country and for many people. The history of slavery, while traditionally interpreted primarily on southern plantations, is increasingly recognized as relevant at historic sites across the nation. It is also more than just an African-American/European-American story—it is relevant to the history of citizens of Latino, Caribbean, African and indigenous descent, as well. It is also pertinent to those descended from immigrants who arrived after slavery, whose stories are deeply intertwined with the legacy of slavery and its aftermath. Developing support within an institution for the interpretation of slavery. Many institutions are reticent to approach such a potentially volatile subject, so this book examines how proponents at several sites, including Monticello and Mount Vernon, were able to make a strong case to their constituents. Training interpreters in not only a depth of knowledge of the subject but also the confidence to speak on this controversial issue in public and the compassion to handle such a sensitive historical issue. The book will be accessible and of interest for professionals at all levels in the public history field, as well as students at the undergraduate and graduate levels in museum studies and public history programs.

Download or read book The Anatomy of Corporate Law written by Reinier Kraakman and published by OUP Oxford. This book was released on 2009-07-23 with total page 578 pages. Available in PDF, EPUB and Kindle. Book excerpt: This is the long-awaited second edition of this highly regarded comparative overview of corporate law. This edition has been comprehensively updated to reflect profound changes in corporate law. It now includes consideration of additional matters such as the highly topical issue of enforcement in corporate law, and explores the continued convergence of corporate law across jurisdictions. The authors start from the premise that corporate (or company) law across jurisdictions addresses the same three basic agency problems: (1) the opportunism of managers vis-à-vis shareholders; (2) the opportunism of controlling shareholders vis-à-vis minority shareholders; and (3) the opportunism of shareholders as a class vis-à-vis other corporate constituencies, such as corporate creditors and employees. Every jurisdiction must address these problems in a variety of contexts, framed by the corporation's internal dynamics and its interactions with the product, labor, capital, and takeover markets. The authors' central claim, however, is that corporate (or company) forms are fundamentally similar and that, to a surprising degree, jurisdictions pick from among the same handful of legal strategies to address the three basic agency issues. This book explains in detail how (and why) the principal European jurisdictions, Japan, and the United States sometimes select identical legal strategies to address a given corporate law problem, and sometimes make divergent choices. After an introductory discussion of agency issues and legal strategies, the book addresses the basic governance structure of the corporation, including the powers of the board of directors and the shareholders meeting. It proceeds to creditor protection measures, related-party transactions, and fundamental corporate actions such as mergers and charter amendments. Finally, it concludes with an examination of friendly acquisitions, hostile takeovers, and the regulation of the capital markets.

Book excerpt: This publication focuses on Factum Foundation?s work to promote the use of high-resolution recording, digital restoration and creative re-materialisation while bringing into focus the changing attitudes towards owning, sharing, preserving and displaying cultural artefacts. It accompanies the exhibition 'La Riscoperta di un Capolavoro' at Palazzo Fava in Bologna, which has reunified the sixteen original panels that still exist from the Polittico Griffoni, a remarkable example of painting from the Bolognese Renaissance.0The altarpiece stood in the Griffoni Chapel in the Church of San Petronio until it was broken up in 1725. The 16 tempera paintings by Francesco del Cossa and Ercole de? Roberti will be exhibited together with 16 facsimiles arranged in what is thought to be the original configuration of the altarpiece ? allowing it to be seen as its patrons and makers intended.0The aim of the collection of thoughts and images in this book is to encourage reflection on the ways that digital technologies in virtual and physical form, are changing our approach to the preservation and conservation of the material evidence of the past.00'The Aura in the Age of Digital Materiality' brings together recent projects by Factum and a wonderfully diverse collection of essays, many written especially for this book, by collaborators and friends. Their widely different backgrounds and disciplines only illustrate the importance of this subject and the huge range of its relevance.00Exhibition: Genus Bononiae. Available in PDF, EPUB and Kindle. Book excerpt: An economic history of Britain since 1700, in three volumes by thirty-nine eminent historians and economists, this book will succeed the first edition of "Floud and McCloskey" (published in 1981) as the leading textbook on its subject. Volume 1 covers the period 1700-1860, that of Britain's rise to relative economic supremacy. Volume 2 discusses the period 1860-1939, that of the height of British economic power and of painful readjustment after 1914. Volume 3 considers the period since 1939, that of relative economic decline and of increasing involvement with the European Community.
