Book International Contracts and National Economic Regulation Dispute Resolution Through International Commercial Arbitration

Download or read book International Contracts and National Economic Regulation Dispute Resolution Through International Commercial Arbitration written by Mahmood Bagheri and published by Kluwer Law International B.V.. This book was released on 2000-12-06 with total page 314 pages. Available in PDF, EPUB and Kindle. Book excerpt: The growth of national economic regulation and the process of globalisation increasingly expose international transactions to an array of regulations from different jurisdictions. These developments often contribute to widespread international contractual failures when parties claim the incompatibility of their contractual obligations with regulatory laws. The author challenges conventional means of dispute resolution and argues for an interdisciplinary approach whereby disciplines such as international economic law, conflict of laws, contract law and economic regulations are functionally united to resolve international and multifaceted regulatory disputes. He identifies the normative foundation of contract law as an important determinant in this process, contending that contract law is essentially neutral and underpinned by the concept of corrective justice, while economic regulations are mainly prompted by distributive justice. Applying this corrective/distributive justice dichotomy to international contracts, the author critically assesses major conflict of laws approaches such as `proper law', `the Rome Convention' and `governmental interest analysis', which could disregard either public interest or private rights. The author, taking these theories into account, proposes an alternative two-dimensional interest analysis approach. He tests the viability of this approach with reference to arbitral awards and court decisions in various jurisdictions and concludes that it uniquely fits into the structure of international commercial arbitration. In adopting this approach arbitrators would take into account both corrective and distributive justice, and to the extent that corrective justice prevails, would be able to avert a total failure of the contract.

Book excerpt: “A Grade A thriller . . . twisted, near-omnipotent villains, brutal violence, sharp plot twists, solid (and enthralling) historical research.” —The Vancouver Sun Canadian Mountie Robert DeClercq and his Special X team are facing down a stolen mummy with a trail of corpses in its wake. The question is: Is this the work of one killer? Or is it some sort of diabolical conspiracy? DeClercq’s investigation leads him to a local porn king who specializes in snuff videos and a fresh trail of mutilated female bodies being dumped around the Gulf Islands. But just when DeClercq narrows in on the criminality behind these abominable murders, an old enemy returns. Not only is Mephisto determined to destroy DeClercq once and for all, but this megalomaniac won’t stop until he puts all of humanity at the brink of Death’s Door. . . . “There are psycho thrillers and there are psycho thrillers, and the ones to watch are those by Michael Slade. This high-powered mystery stars a psycho so heinous that you might want to take a deep breath before starting this baffling case. [Death’s Door is] a story to be read with caution.” —Ottawa Citizen “There isn’t a precedent for the barbaric brilliance of a Slade novel. With its well-researched, candid ventures into the most deranged of sick psyches, Death’s Door is a witches’ brew of intense intellectualism, police procedure, and white-knuckle, wince-inducing gore.” —Rue Morgue “Slade has finely honed his skills . . . You’ll be up all night reading it and, before you finally sleep, you’ll check under the bed.” —The Vancouver Sun/DESC

Book Corporate Takeover Law and Management Discipline

Download or read book Corporate Takeover Law and Management Discipline written by Francis A Okanigbuan Jnr and published by Routledge. This book was released on 2019-12-06 with total page 215 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book examines the effectiveness of corporate takeovers. The dominant ideologies of corporate takeovers include synergistic gains and its managerial disciplinary role. These dominant themes are being undermined by the challenges of costly acquisitions. The UK Takeover Code is a regulatory response to the role of managers of target companies only. Also, the regulatory framework for takeovers in the United States is largely focused on target companies. The book demonstrates that managements can influence the role of takeovers, thereby undermining its synergistic and disciplinary values. Presenting an identification and evaluation of the limits of current regulatory and judicial control over the role of management during takeovers in the UK and the US -Delaware, it will identify the relevance of institutional control as an effective mechanism for addressing the challenges of managerial influence over takeover functions. It will also identify how the role of managements can be addressed with the complementary benefit to shareholder and employee interests; thereby challenging the shareholder/ stakeholder primacy debate in corporate law, particularly in relation to takeovers. This book will be essential reading for scholars and students interested in the market for corporate control, corporate law and company law.

Book Informatics and the Foundations of Legal Reasoning

Download or read book Informatics and the Foundations of Legal Reasoning written by Z. Bankowski and published by Springer Science & Business Media. This book was released on 2013-03-09 with total page 308 pages. Available in PDF, EPUB and Kindle. Book excerpt: Informatics and the Foundations of Legal Reasoning represents a close collaboration between a wide range of disciplines and countries. Fourteen papers, together with a long analytical introduction by the editors, were selected from the contributions of legal theorists, computer scientists, philosophers and logicians who were members of an International Working Group supported by the European Commission. The Group was mandated to work towards determining how far the law is amenable to formal modeling, and in what ways computers might assist legal thinking and practice. The book is the result of discussions held by the Group over two and half years. It will help students and researchers from different backgrounds to focus on a common set of topics of increasing general interest. It embodies the results of work in progress and suggests many issues for further discussion. A stimulating text for undergraduate and graduate courses in law, philosophy and computer science departments, as well as for those interested in the place of computers in legal practice, especially at the international level.
