Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from Reorganization of the Railways The experience we have had with our rail way problems demonstrate very fully many of the evils that must be eliminated before we can hope to have an efficient system of trans portation adequate to the public needs. Fi nancing the carriers has not always been either honest or wise. Many errors, both of judgment and methods, have appeared in the construction and operation of the railways, and such mistakes have tended to depress their credit. Regulation by commissions and other public officials, reducing income and in creasing expenditures, together with the re strictions found in State and National legis lation, have all combined to increase the bur dens of the railways and rendered them nu able in most instances to properly perform their functions as common carriers. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from Railroad Reorganization I'r sometimes happens that experiences long since past seem to be repeated, and that knowledge apparently forgotten proves again of service. This is illustrated by the subject of railroad reorganization. In the years between 1893 and 1899 an imposing group of American railroads passed into receivers' bands. In 189 3 alone more than miles, with an aggregate capitalization of almost 000, were taken over by the courts, and in the following years the amount was largely increased. Foreclosure sales aggregated miles in 1895, in 1896, and between 1894 and 1898. Among the more important failures were those of the Richmond West Point Terminal, the Reading, the Erie, the Northern Pacific, the Atchison, and the Baltimore 8: Ohio to say nothing of the Norfolk Western, the Louisville, New Albany Chicago, the Ann Arbor, the Seattle, Lake. Shore Eastern, the Pecos Valley, and many other smaller lines. The railroads which failed between 1893 and 1898 were subse quently reorganized. In order to restore the equilibrium between income and outgo the companies turned to their creditors, and de mended the surrender of a part of the rights of which bondholders were then possessed. This demand the creditors were forced to concede. Some of them yielded without legal compulsion, assenting to voluntary reorganizations; some insisted upon the sale of the property securing their loans, but without escaping the loss which fell upon their more pliant associates. Much injustice to individuals came to light at this time. Men who had invested in good faith were obliged to sacrifice their holdings through no fault of their own. The savings of years were swept away. The demand of the rail roads was one, nevertheless, which the courts supported, and rightly. The companies could not be operated unless the creditors were deprived of part of their legal rights. At the same time, these rights no longer had a material basis on which to rest, and their surrender meant but the recognition of a loss which had already taken place. He has a claim against the Western Pacific Company and has the right to have the property of that Company sold and the proceeds applied, so far as the same will go, in discharge of his claim. He has also a claim against the Denver Company for unpaid interest and will have a claim for interest to accrue on the portion of his debt not discharged by applica tion of the proceeds of the sale of the properties of the Western Pacific Company. Prob ably, moreover, the Trustee under the Western Pacific First Mortgage, if it elect to adopt that alternative, may recover judgment against the Denver Company for all of the dam ages sufiered by the First Mortgage bondholders by reason of the Denver Company's breach of its obligation under Contract B, considered as an entirety. This makes the question of the financial responsibility of the Denver Company a matter of interest and importance to the Western Pacific bondholders. Indebtedness and Earnings of The Denver Rio Grande Railroad Company. The secured debt of the Denver Company as the same now exists (it has substantially no oating debt) is substantially the following. Download or read book The Cincinnati Hamilton and Dayton Railway Company written by Cincinnati Hamilton Co, Dayton and published by Forgotten Books. This book was released on 2018-01-11 with total page 34 pages. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from The Cincinnati, Hamilton and Dayton Railway Company: Plan and Agreement of Reorganization, Dated February 15, 1916 In connection with the plan of readjustment of 1909, The Cincinnati, Hamilton and Dayton Railway Company executed its First and Refunding Mortgage, dated July 1, 1909, under which there have been issued of Four Per Cent. Bonds. Of these bonds, guar anteed as to principal and interest bv The Baltimore and Ohio Railroad Company, and unguaranteed, are in the hands of the public, the remaining being held by The Bal timore and Ohio Railroad Company as collateral for purchase money notes and other obligations of The Cincinnati, Hamilton and Dayton Railway Company aggregating The latter company also executed a General Mortgage, dated July 1, 1909, under which there have been issued of bonds, all of which are outstanding. Owing to a series of unusual and unforeseen circumstances, The Cincinnati, Hamilton and Dayton Railway Company was unable to meet its various obligations and on July 2, 1914, the property was placed in the hands of receivers. Since that time there have been protracted negoti ations, looking towards reorganization, with holders of certain of the Company's securities and with The Baltimore and Ohio Railroad Company, which has so large an interest in the property by reason of its position as holder or guarantor of a large part of the securities above mentioned. Certain branch lines, mortgaged to secure branch line bonds which remained undisturbed in the readjustment of 1909 but the interest on which was not earned in the present receivership, have already been sold on foreclosure and a similar result with respect of other branch lines may be expected. The important portion of the property is the main line between Cincinnati and Toledo and certain main line branches hereinafter described, and it is important that a Plan of Reorganization embracing these lines be promptly undertaken. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from National Ownership of Railways The Railways are Public Highways and as such, be ing necessary to transportation as a means of exchange, they should be owned and operated lay Society in the interest of Society. Highways are not private but public institutions, and when government lets out the construction of its highways, giving to corporate bodies the privilege of taxing those who use them, there is always retained a superintending power, a right to regulate the charges imposed upon the public. That the government has a right to prescribe rates has been so well established by judicial decisions that it is no longer a question for discussion. It is the duty of the State to provide inter-communication, and the chartering of a railroad by a private company is for the purpose of performing said duty for the State. Says Chief Justice Black A railway is a public highway for the public benefit, and the right of the corporation to exact a uniform, reasonable, stipulated tell from those who pass over it, does not make its main use a private one. The public have an interest in such a road when it belongs to a corporation as clearly as they would 1f it were free, or if the tolls were payable to the State. Book excerpt: Excerpt from Railway Problems: Edited With an Introduction This collection of reprints, like its predecessor, Trusts, Pools, and Corporations, is directed to the accomplishment of two purposes: not alone to render more easily accessible to the interested public, valuable technical material upon a question of paramount interest and importance at the present time, but also to facilitate the work of the college instructor in the economics of transportation. The worst evil of modern academic life, particularly under the elective system, is that the student may so seldom be called upon to think for himself; - not merely to "cram" and memorize, to absorb information predigested by an instructor, but rather to actively use his reasoning powers in effecting recombinations of ideas. Mere passive contact for a brief period of life with cultivating influences and high ideals, as exemplified in books, general environment, and, it is to be hoped, instructors of the right sort, tends to produce the dilettante, unless at the same time the mind is constantly invigorated by action. This is especially true of the economic and social sciences. To provide material, preferably of a debatable sort, which may be worked over under discussion in the class room, instead of being merely committed to memory, constitutes the pedagogical aim of this book. Some of the extracts, especially the historical ones, are of course not susceptible of such treatment. They are merely reference readings for convenient use. But the others, notably the decisions of the Interstate Commerce Commission, usually provide debatable matter of an admirable sort. This is peculiarly true of cases or decisions with a dissenting minority opinion. Another advantages which many of these economic cases possess, over proposition in mathematics, logic, or even laws, as material for training the intelligence, is that they are always charged with human, and often with great public, interest and that they incidentally involve an acquaintance with the underlying business condition and trade of the country at large.
