Book Principles of the Law of Partnership Classic Reprint

Download or read book Principles of the Law of Partnership Classic Reprint written by Arthur Underhill and published by Forgotten Books. This book was released on 2016-08-30 with total page 208 pages. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from Principles of the Law of Partnership This Treatise makes no pretence to the position of a text book. It is merely a broad sketch giving the salient features Of the subject. For the finished picture, with its wealth of detail, the reader must turn to the elaborate work of Lord lindley. But although a sketch is necessarily a humble work, like other humble things it has its uses. By excluding complex details, it accentuates and brings into greater relief those principal features Of the landscape upon which its character depends. So in students' law books, if one can generalise the wilderness of single instances embalmed in the reports, and extract therefrom some broad principles - ii one can, as bacon puts it, rather excite the judgment brie y than inform it tediously - the work will not be altogether useless. For these reasons it is hoped that law students and commercial men may find in this little book a readable and concise, and it is believed an accurate View of the main principles of the law of partnerships. For the convenience of practitioners an Appendix has been added to this Edition, containing a print of the Partnerships Act, 1890. Need I make acknowledgment of my indebtedness to Lord lindley? It goes without saying. NO one whovi preface. About the Publisher Forgotten Books publishes hundreds of thousands of rare and classic books. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from The Law of Limited Partnership The American system of Limited Partnerships, adopted in Upper Canada and in a the organized subdivisions of the United States except the three Territories of Arizona, Idaho, and New Mexico, is unknown in the rest of the world. The idea of a limited partnership arose several centuries ago (see 3, 4) in Italy, and thence spread to the Netherlands, Spain, and France, where, viewed with eyes of lenient construction by courts and commentators, it grew to luxuriant proportions, only partially trimmed by the repeal of 38 of the Code de Commerce in 1856. The French statute without the French construction was grafted upon our jurisprudence in 1824; but the process of integrating it with the common law choked the exotic outgrowth in the germ and produced a native system bearing no resemblance to the parent, yet which, though arising under the statutes of forty-five different States, forms a consistent and homogeneous system, as does the system of Code Pleading, with almost none of the chromatic aberrations that might have been expected from the media of so many atmospheres. Book Handbook on the Law of Partnership Including Limited Partnerships Classic Reprint

Download or read book Handbook on the Law of Partnership Including Limited Partnerships Classic Reprint written by Eugene Allen Gilmore and published by Forgotten Books. This book was released on 2017-10-11 with total page 748 pages. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from Handbook on the Law of Partnership, Including Limited Partnerships The original arrangement with the publishers contem plated, not an entirely new treatise on the law of Partner ship, but merely a new edition of Mr. William George's' text on this subject. After the work was begun, however, it seemed advisable to abandon Mr. George's text for the most part, and to prepare a substantially new treatise, us ing such portions of his work as should be found suitable. With the exception, therefore, of Chapters VIII and IX, the present book, both in arrangement and text, is new. A few passages and a number of citations and notes have been taken from Mr. George. Chapters VIII and IX are repro duced substantially as found in Mr. George's book, with the addition of later cases. The law on the subject being rea sonably well worked out in the authorities, the aim of the present author has been to make a clear and definite state ment of the leading principles, in a form serviceable alike to students and practitioners. Whatever merit the book has lies in this direction, rather than in the discussion of controverted points, or the advancement of new theories. The citations, while including all the leading cases, are not exhaustive, but are sufficiently full for practical purposes. The author acknowledges his great indebtedness for valua ble assistance in the task to Mr. Henry A. Hirshberg and to Mr. Oliver S. Rundell; also to Mr. Olcott O. Partridge for his preparation of the chapter on Limited Partnerships. About the Publisher Forgotten Books publishes hundreds of thousands of rare and classic books. This book was released on 2017-10-24 with total page 1144 pages. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from An Exposition of the Principles of Partnership How does a grant differ from an assignment for creditors? The sale passes the title and vests it in the grantee; the assignment is provisional and the property reverts to the grantor when the object of the transfer is accomplished. This difference, which is fundamental, explains a case which has been heralded as revolutionary, and yet is but the type of an assign ment for creditors.' The executor-partnership needed only a statement to expose the absurdity of self-immolation as a legal tenet in a system of law and equity. Both founded upon self - interest or consideration. The New York Court of Appeals enforced the executor-partnership in the Spring of 1889 just before the first edition of this work was published,2 but immediately after its publi cation took the first opportunity to scout the idea of such a partnership.3 The other states will undoubtedly follow the lead of New York. Book excerpt: Excerpt from The Law of Partnership: Including Limited Partnerships This book is the result of an attempt to state clearly and concisely the principles of English Partnership Law, with an especial view to the needs of the student, as these have revealed themselves to the writer during his repeated discussions of the subject in the lecture-room. It is a branch of the law which has never proved to be particularly simple or easy for students, and the writer is fully conscious that he has not wrought any radical change in its nature. He has tried to point out the chief sources of difficulty, however, and to save the student from needless perplexity. While he has not hesitated to criticise respectfully judicial decisions, which appear to him unsound and confusing, nor to avow his own opinions upon controverted points, he has striven not to theorize unduly, but has sought to state the law as it is. Book excerpt: Excerpt from Contracts and Partnership, Vol. 4: Containing All the Essential Elements Necessary to Make a Complete and Binding Contract, Together With a Full Explanation of the Law of Partnership, With Many Forms of Both Contracts and Partnerships Previous numbers of the Cyclopedia of Law having met with nothing but success and approval, the author feels disinclined to apologize for attempting to give within the limit of 200 pages the principles of the two important branches of Contract and Partnership. He does not expect that the reader or student will find in the present book all that is contained in the well-known text-books upon these subjects. Nor is he ready to admit that a larger or more comprehensive book is desirable to answer the purpose intended by the volumes of the Cyclopedia of Law. It is only the aim and purpose of the Series to furnish in convenient and inviting form the principles and elements of the American law. Under the head of Contracts it has not been attempted to discuss the various special contracts, which are now considered as distinct legal subjects. Sales, Bailment, Negotiable Instruments, Agency, etc., will be treated in later numbers of the Series. About the Publisher Forgotten Books publishes hundreds of thousands of rare and classic books.
