Given the significant sums spent to acquire goods and services, the Federal Acquisition Regulation (FAR) was amended twice starting in December 2007 to first mandate and later amplify contractor ethics program rules. Before FAR changes were finalized in December 2008, Congress required GAO to report in 2009 on the ethics programs of major defense contractors. This report (1) describes the extent that contractors had ethics programs before the finalization of the FAR rules that included practices consistent with standards now required by the FAR and (2) assesses the impact the new FAR rules have on Department of Defense (DOD) oversight of contractor ethics programs. To do this work, in September 2008 GAO surveyed all 57 contractors -- those receiving more than $500 million in 2006 DOD contract awards -- and interviewed DOD contractor oversight agency officials on the impact of the new FAR rules on oversight. GAO recommends four actions aimed at improving oversight of ethics programs during contract administration and DOD hotline poster requirements for contractors to ensure that whistleblower protections are communicated. DOD concurs with GAO's recommendations.

Book excerpt: Professionalism and sound ethical judgment are essential to executing the fundamental mission of DOD and to maintaining confidence in military leadership, but recent DOD and military service investigations have revealed misconduct related to, among other things, sexual behavior, bribery, and cheating. House Report 113-446 included a provision for GAO to review DOD's ethics and professionalism programs for military servicemembers. This report examines the extent to which DOD has developed and implemented (1) a management framework to oversee its programs and initiatives on ethics and professionalism; and (2) tools and performance metrics to identify, assess, and measure progress in addressing ethics and professionalism issues. GAO analyzed DOD guidance and documents related to military ethics and professionalism, reviewed literature to identify ethics issues and practices, and interviewed DOD, industry, and foreign military officials experienced in implementing ethics and professionalism programs.

Self-governance, also known as corporate governance, is a process through which a company takes responsibility for implementing and enforcing legal and ethical conduct. The key component of self-governance is a strong and effective ethics program. An ethics program consists of policies and procedures that define and implement the company's code of conduct. An ethics program should establish a culture within a company that promotes prevention, detection, and resolution of instances of conduct that do not conform to Federal, State, and local law; Federal and DoD contract regulations; and the company's own internal ethical and business policies and procedures.

Book excerpt: The Department of Defense (DOD), which includes the military services, selects mid- to upper-career-level military officers to participate in fellowship and training-with-industry programs conducted at non-DOD organizations such as universities, think tanks, private corporations, federal agencies, and Congress. For some fellowships, the military departments pay a fee or tuition to the host organization. GAO was directed to review DOD's use of these programs. GAO's objectives were to determine: (1) the statutory provisions that authorize DOD's fellowship and training-with-industry programs for military officers, (2) the extent of the Office of the Secretary of Defense's (OSD) visibility over these programs, and (3) the extent to which the services are able to determine that they derive benefits from these programs. GAO analyzed relevant laws and DOD policies, collected data, and interviewed OSD and military service officials on their oversight and management roles and responsibilities for these programs. GAO is making 11 recommendations to DOD for improving oversight and management of DOD's fellowship and training-with-industry programs--for example, submitting DOD-required annual reports and performing service-required program reviews--that would enhance OSD's visibility over the programs and better position DOD to determine the extent to which it derives benefits from them. In response to a draft of this report, DOD concurred with the 11 recommendations and stated its action plan to implement the recommendations.
