Excerpt: ... on deposit with Homans more than enough to pay it, and had agreed with Hemingray to do so, out of that deposit, if necessary and Homans required it, and so notified him; but that firm, having other occasions for the money, requested Homans to permit it to lie over unpaid for a short time, for their convenience, which Homans was willing to do; and thereupon it was agreed, between Homans Bank 11. Hemingray. and Hemingray & Co., that the amount due on said note should be considered and treated as a. loan_ by Homans to the firm on call, the note being retained merely as evidence and security. _ ' By this transaction, in equity, the firm of Hemingray 8: C0. became the principal debtors, and Hemingray's individual liability on the note became and continued merely a collateral security; and the surety, being sued, clearly has a right to set up, by way of defense, whatever would be a bar to the suit, if it had been brought against the principal. In other words, the real debt is extinguished by canceling an equal amount of the deposit in the bank credit, and that, by necessaryoperation of law, releases all securities for the debt. 3.
