Entre otros temas, este libro define cómo operan este tipo de sociedades mercantiles. Llamadas limitadas porque permiten que la responsabilidad de los empresarios se limite al capital aportado. Por esta razón, cada vez que se contrae una deuda, no se restituye con el patrimonio personal de los socios, sino con el que se aportó en la empresa limitada. En la creación de una Sociedad Limitada, se elaboran varios documentos estatutarios que contienen un detalle de las participaciones sociales de cada socio. Además es necesaria información sobre cómo se administrará la sociedad y el conjunto de normas para las operaciones y sobre todo para la toma de decisiones. El número mínimo de accionistas de una S.L. es uno, y no hay ni siquiera un número máximo de socios. Para empezar dentro de lo más positivo de la forma de sociedad limitada es su conveniencia para pequeñas y medianas empresas. Esto es así por el número mínimo de accionistas (1) y el requisito de capital mínimo (3.000 euros). Como se dice en Ley de las sociedades limitadas españolas, la responsabilidad en una S.L. está limitada al capital. Esto significa que los bienes personales de los socios están protegidos.

Book excerpt: This book is a comparative law study exploring the piercing of the corporate veil in Latin America within the context of the Anglo-American method. The piercing of the corporate veil is a remedy applied, in exceptional circumstances, to prevent and punish an inappropriate use of the corporate personality. The application of this remedy and the issues it involves has been widely researched in Anglo-American jurisdictions and, until recently, little attention has been given to this subject in Latin America. This region has been through internal political conflicts that undermined economic development. However, rise of democratic governments has created the political stability necessary for investment and economic development meaning that the corporate personality is now more commonly used in Latin America. Consequently, corporate personality issues have become a subject of study in this region. Drawing on case studies from Mexico, Colombia, Brazil and Argentina, Piercing the Corporate Veil in Latin American Jurisprudence examines the ingenuity of Latin American jurisdictions to deal with corporate personality issues and compares this method with the Anglo-American framework. Focusing in particular on the influence of two key factors- legal tradition and the uniqueness of each legal system- the author highlights both similarities and differences in the way in which the piercing of the corporate veil is applied in Latin American and Anglo-American jurisdictions. This book will be of great interest to scholars of company and comparative law, and business studies in general.

Book excerpt: The limited liability company (GmbH) was created by the German legislature in 1892 as a company form without any historical forerunners or suggestions from comparative law. It brought about a readjustment of the relationship between the chance of profit and the liability risk. However, criticism from the jurisprudence that had not been included in the quick legislative process was also heard from the start. As early as 1892, Levin Goldschmidt expressed concern that the GmbH would replace 'principally more solid forms of company'. However, this criticism did not prevent the company form of the GmbH from being adopted in numerous European countries, or at least seriously considering its reception.
