Il appartient à ce que le Professeur Didier qualifie de contrat-organisation, par apposition au contrat-échange. Cette convention si singulière, en même temps que plurielle, définie pour la première fois en 1975 par Jean-Marc Mousseron, apparaît comme un ensemble contractuel complexe, organisé autour d'un contrat-cadre présent prévoyant la conclusion future de contrats de mise en application. Les contrats de distribution commerciale sont au coeur de la vie des affaires et mettent en relation producteurs ou fournisseurs et distributeurs. Ce groupe de contrats s'insère ainsi de manière plus large dans ce que l'on nomme communément les circuits de distribution commerciale, opérant par là même une intégration des revendeurs dans ces réseaux.
