La determination de la nature juridique de ce contrat est une operation assez difficile. Ce contrat est en effet un contrat complexe puisqu'il implique plusieurs elements a la frontiere des contrats classiques prevus dans les codes civils francais et egyptien. Toutefois, nousavons reussi a le rattacher a la categorie du contrat d'entreprise dans la mesure ou il s'adapte bien avec l'economie de notre operation. Cela dit, la nature complexe de ce contrat a impose aux contractants des obligations specifiques, surtout l'obligation de cooperation. Cette obligation impose a chaque partie d'effectuer des prestations importantes dans l'execution du contrat. Il en decoule qu'il etait difficile de determiner la prestation caracteristique selon laquelle on peut designer la loi applicable. A cet effet, nous avons utilise le principe de proximite pour determiner cette loi. Nous avons vu que la loi du pays de l'acquereur peut representer les liens les plus etroits avec notre contrat ; la loi du pays de l'acquereur est alors la loi ordinaire du contrat. Par ailleurs, les regles extraterritoriales specialement celles americaines ne peuvent pas bouleverser la loi normale du contrat en raison de l'absence des conditions d'application des regles de police etrangeres ( les liens les plus etroits avec le contrat et la legitimite des interets vises pas les lois).
