Cette imbrication entre l'économique et le juridique renouvelle la méthode du droit de la concurrence. La réception de l'analyse économique des restrictions verticales nécessite un certain nombre d'aménagements : tout d'abord, de l'analyse économique qui doit prendre en compte les spécificités et les objectifs différents du droit de la concurrence en Europe et aux Etats-Unis ; ensuite, de l'approche juridique, qui doit être flexible, permettant le recours à l'analyse économique des restrictions verticales. D'un côté la nécessite de lutter contre les coûts sociaux dus aux effets de monopole implique pour la collectivité de pouvoir lutter contre les conditions dans lesquelles les firmes parviennent à obtenir, indépendamment de leur coûts réels des profits ou des rentes de situation exceptionnels. D'un autre côté, les exigences de compétitivité appellent, à un degré variable selon les activités, une diminution de leur nombre et un accroissement de leur taille par rapport à l'étendue du marché avec pour corollaire une augmentation inévitable du degré de pouvoir de monopole dans la branche. Face à ces arbitrages le droit de la concurrence consacre traditionnellement une solution de compromis. Il admet que les situations de domination individuelle ou collective puissent persister dans le temps sans que la concurrence ne parvienne à les réduire. Mais il intervient par la mise en œuvre d'une norme de comportement interdisant le recours à des pratiques préjudiciables. L'évolution de la jurisprudence montre, cependant, un fléchissement dans la mise en œuvre de la norme de contrôle. La compatibilité des firmes dominantes en droit communautaire est progressivement remise en cause. Le propos de ce travail est de montrer qu'une telle remise en cause est critiquable. D'une part, sous certaines conditions de coûts et de demande il est possible de montrer que les positions dominantes sont le résultat d'un processus concurrentiel conduisant à une organisation efficace de la production. D'autre part, le progrès technico-économique suppose que les firmes aient la capacité de pouvoir réaliser des baisses de coûts unitaires donc de concevoir et de mettre en œuvre des équipements de grande taille. Dans ce contexte il n'est pas rare d'observer que les stratégies de valorisation exercent de forts effets d'exclusion et de transformation des structures concurrentielles. La domination qui en résulte traduit alors une complexité plus grande des normes de concurrence que ne le laisse supposer une lecture de la jurisprudence actuelle.

Book excerpt: If we can speak of the European Community's 'economic constitution', we can assert that competition rules, together with free movement rules, form its core. Notably, implementation of the competition rules enshrined in Articles 81 and 82 EC changed radically with the enactment of Regulation 1/2003, which in effect dispensed with mandatory prior notifications and allowed national authorities to apply Article 101(3) TFEU directly. Given that national legislations perceive certain types of unilateral conduct, even if adopted by a non-dominant undertaking, as a potential source of anticompetitive effects, an important question concerns the leeway enjoyed by national authorities under the exception to the convergence rule in Article 3(2) of Regulation 1/2003, and the consequent effect on both legal practice and policy issues. In this lucidly argued book, focusing on national competition provisions in Germany, France, Italy, and the United Kingdom that deal with such conduct, the author provides a detailed examination of how such considerations as the following are affected by Regulation 1/2003: - prohibition of abuse of economic dependence or superior bargaining power; - the particular susceptibility of long-term contracts; - prohibition of resale at a loss or below cost; - prohibition of boycott, unlawful pressures, threats, and other coercive tactics adopted by undertakings; and - the role of unfair competition law. The analysis follows a functional method of comparative legal analysis, reviewing the most relevant norms in the selected jurisdictions, particularly in what concerns their goals and function in the context of their respective legal systems. Special attention is paid to two specific sectors – the motor-vehicle and the retailing industries – which have most often triggered relevant legislation and case law in the jurisdictions covered. Focusing on the crucial Court responsibilities of investigating facts and assessing economic damage in relation to the type of non-contractual liability apparent in antitrust cases, the author convincingly demonstrates that the scope for ‘case management’ by the Courts is strictly limited, and may engender information or evidentiary deficits that contravene ECHR Art 6.1 as well as the principles of effective judicial protection and rectitude of decision. A claim for compensation pursuant to Art 340 TFEU may be struck merely because the basic elements of the cause of action cannot be established to a minimal level.

The Rome I Regulation replaces the Rome Convention of 1980 in the EU Member States and will apply to all contracts concluded as of 17 December 2010. However, and herein lies the utility and great importance of this work, the Rome Convention and the Rome I Regulation will be applied in parallel for a significant time to come (the author himself anticipates a ten-to-fifteen year period); in the latter case to contracts made after 17 December, 2010.
