Dans cette étude, on compare les deux droits. En l'absence d'une jurisprudence tunisienne en la matière, on rapproche le droit tunisien à celui de France. Des analyses éclairantes sur les évolutions législatives, jurisprudentielles et doctrinales en matière de responsabilité civile du banquier dispensateur de crédit aux entreprises. En principe, cette responsabilité professionnelle se fonde sur la faute, le préjudice et le lien de causalité entre eux. La banque peut commettre plusieurs fautes dans l'octroi, la rupture et le suivi du crédit. Cette distribution fautive peut produire plusieurs préjudices subis par les créanciers, par l'emprunteur, ou par la caution. Il faut alors prouver le préjudice et son lien de causalité avec la faute. Lors de l'ouverture des procédures collectives différentes, les mandatiares de justice sont habilités d'intanter l'action contre la banquier pour demander la réparation du préjudice collectif. Mais, cela n'empêche pas certains créanciers d'agir individuellement pour réparer le préjudice collectif, ou personnel distinct de la collectivité des créanciers. L'emprunteur ou sa caution peut, encore, agir contre le banquier pour obtenir une allocation de dommages et intérêts.

En effet, le banquier dispensateur de crédit est susceptible d'engager sa responsabilité non seulement lorsqu'il consent un crédit mais aussi lorsqu'il le rompe. En même temps, les clients et les tiers aspirent, quant à eux, à davantage de sécurité et entendent limiter les risques encourus. Ces impératifs contradictoires doivent nécessairement être pris en considération afin de rechercher un régime de responsabilité civile suffisamment équilibré. Cette recherche avait commencé, en France, vers la fin des années 70 et le début des années 80. Pendant cette période, on a assisté à l'émergence des premiers procès intentés contre des banquiers afin de mettre en cause leur responsabilité en raison des crédits qu'ils consentent. Depuis, la faute du banquier a connu diverses fortunes mais une constance doit néanmoins être relevée devant une responsabilité bancaire qui ne cesse de s'étendre par son ampleur et sa concurrence. En droit algérien, l'ouverture économique tardive du marché a différé le débat sur la responsabilité civile du banquier dispensateur de crédit. Néanmoins, l'importance croissante du crédit dans la vie économique algérienne a concouru de façon significative à l'accélération du processus d'établissement d'un régime particulier de la responsabilité bancaire équilibrée. Néanmoins, le régime de la responsabilité bancaire en Algérie se trouve aujourd'hui confronté au même dilemme qu'a affronté le législateur français et qui continue d'affronter. Comment protéger les droits des clients les plus vulnérables sans pour autant sacrifier les intérêts d'un acteur majeur de l'économie, en l'occurrence, le banquier dispensateur de crédit ?
