Book excerpt: Nelle operazioni con l'estero, il contratto dovrebbe rappresentare il momento in cui le rispettive esigenze, esperienze e professionalità dei merchants e dei lawyers vengono condivise e contemperate in vista del raggiungimento dei traguardi, e non da ultimo del profitto, che l'impresa italiana intende raggiungere. Una simile impostazione comporta per il giurista a cui sia affidata la redazione del testo di un contratto internazionale una maggior attenzione nella redazione ed una maggiore sforzo per comprendere prima, e poi disciplinare, l'operatività delle procedure imprenditoriali attraverso cui le parti dovranno realizzare, pensando alla possibile litigation non soltanto come ad un possibile evento a cui prepararsi, quanto piuttosto ad una eventualità da scongiurare. Nel libro, e più precisamente nella parte dedicata alla struttura e alle partizioni di un contratto internazionale sono inserite, a maggior chiarimento, numerose esemplificazioni, in inglese ed in italiano, di clausole contrattuali dedicate alla questione discussa. Considerato che la sottoscrizione dei contratti internazionali spesso giunge dopo un graduale processo di "avvicinamento" tra l'impresa italiana ed il potenziale partner straniero, l'ultima parte del libro è dedicata ai documenti pre-contrattuali che le parti sottoscrivono in tale fase e poi durante la negoziazione vera e propria, e quindi Lettere di Intenti, Memorandum of Understanding e Confidentiality Agreement, per ognuno dei quali, al termine del libro sono inseriti diversi esempi. Da questa raccolta di interventi scaturisce un ampio e variegato panorama sui rimedi - con particolare riferimento a forza maggiore e hardship - prospettabili di fronte ad una evidente “crisi” nel puntuale adempimento dei contratti internazionali, esaminati sotto prospettive diverse. Così, ad un preliminare ed ampio inquadramento generale di questi temi, segue un esame della disciplina italiana rilevante alla quale fa riscontro un successivo esame delle soluzioni presenti nelle convenzioni internazionali e nelle norme internazionali di soft law. Seguono, poi, le analisi dedicate al quadro giuridico complessivo, ovvero composto da norme e giurisprudenza, attinente agli ordinamenti di vari Stati quali il Regno Unito, la Germania, la Svizzera e, nella parte finale della raccolta, anche il Giappone. Né potevano naturalmente mancare ulteriori apporti concernenti le c.d. testimonianze sul campo maturate, in occasione delle circostanze sopra indicate, all’interno di importanti imprese o di studi legali ai quali esse si rivolgono.

Book excerpt: In many legal systems around the world, whether civilian or common law, the doctrine of good faith is recognised as one of the general principles of contract law. By contrast, English law has taken a different approach, relying on a number of specific doctrines aimed at securing fair dealing but eschewing any general principle of good faith in contract. In the light of recent good faith provisions - such as those found in the EC Directives on Commercial Agents and on Unfair Terms in Consumer Contracts, as well as in the Lando Commission's 'Principles of European Contract Law' and the UNIDROIT 'Principles of International Commercial Contracts' - it is open to debate whether the English law of contract can, or indeed should, maintain its traditional approach.The purpose of the essays in this collection is to inform such a debate in two principal ways: first, by drawing out the competing conceptions (and concomitant credentials) of the idea of good faith in contract; and, secondly, by exploring the role of good faith in different contexts - for example, in the context of both consumer and commercial contracting, but also in the context of specific fields of contract law (such as insurance and financial services), particular patterns of doctrinal response to bad faith and unfair dealing and the various traditions of legal reasoning found around the world.The essays represent a significant international engagement with a question that is by no means of interest only to English lawyers. With a focus on expressions of modality, the study adopts a corpus-based Descriptive Translation Studies approach to analyse the translation strategies used in a bilingual English/Italian parallel corpus of European Union legislation and identify the most frequent translational patterns. The book outlines the principles at the basis of the multilingual policy at the European Union and provides a detailed outline of the context in which the drafting and translation processes take place as a key to understanding the translational choices. The impact of sometimes contrasting factors such as the conventions of legal drafting at the European Union and those within the target culture, the principle of equal authenticity and the attention to the quality and readability of legislative texts is revealed in the analysis. Evidence in support of the theories concerning translation universals is also found and their implications for EU legal translation are discussed. The results lead to the formulation of several hypotheses as regards the norms governing the translation of EU legislative texts. The book also reflects on the impact that the translational choices have on the development of European Union legal language as an independent variety.
