Book excerpt: Conçue en 1804 comme une ligne de partage des intérêts étatiques, la distinction des meubles et des immeubles semblait alors pouvoir constituer, au plan international, une clé de répartition des compétences inspirée de l'ancien adage mobilia sequuntur personam, immobilia vero territorium. En imposant la compétence de la loi française pour les immeubles même ceux possédés par des étrangers, le législateur affirmait l'empire exclusif de l'Etat, souverain territorial, sur les éléments constitutifs de son territoire en même temps qu' il entendait réserver à l'Etat législateur la maîtrise, par application de sa propre loi, de son organisation sociale, que seuls, à l'époque, les immeubles paraissaient susceptibles d'impliquer. La conception privatiste du droit international privé qui va s'imposer et la modification en profondeur de la perception des caractères distinctifs des meubles et des immeubles, provoquée par le passage d'une économie agraire à une économie industrielle, vont favoriser un rapprochement du sort des meubles et des immeubles. Cependant, même étroitement limité, le maintien de la distinction en droit positif, tant sur le terrain de la compétence législative que juridictionnelle, ne peut s'expliquer à partir des seules considérations objectives tirées de la différence de qualité des rattachements au lieu de situation du bien selon qu'il est meuble ou immeuble. La " force d'attraction " de l'immeuble ne tient pas seulement à la stabilité du critère de rattachement au lieu de sa situation, opposée à la fragilité de ce même critère pour les meubles, conséquence de leur " infériorité naturelle " qui est de pouvoir être déplacés. La distinction ne peut se comprendre sans référence à la maîtrise que l'Etat de l'immeuble entend conserver sur la répartition et l'utilisation d'une portion de son territoire indispensable à l' établissement des activités humaines, tandis que le meuble est encore, dans une large mesure, associé à l'idée de liberté.

The signing of this Convention on 5 July 2006 by two of the world's major financial markets, the United States and Switzerland, shows the relevance of the new treaty. Traditional rules, based on physical transfers and direct holdings, are too diverse and inadequate to deal with securities which are nowadays transferred and pledged by electronic entries to accounts with clearing and settlement systems and other intermediaries. By identifying specific conflict rules, the Hague Securities Convention provides a means to remedy this lack of legal certainty which has characterized for too long the field of security transactions. The Proceedings will enable the financial world, but also legal practitioners and academics to grasp the background and full objectives of this very innovative international instrument.
