Book Italian Banking and Financial Law Regulating Activities

Download or read book Italian Banking and Financial Law Regulating Activities written by D. Siclari and published by Springer. This book was released on 2016-01-12 with total page 227 pages. Available in PDF, EPUB and Kindle. Book excerpt: Italian banks and financial intermediaries are subject to extensive regulation which has evolved throughout the country's history. There has also been much change to the country's financial regulation in recent years in response to the globalization of markets and intermediaries. The Italian administrative and regulatory system is often perceived as a major obstacle to economic productivity, and some causes of this ineffectiveness are deeply rooted and date back to the Italian unification and juridical culture. This book provides an overview of the Italian regulation of banking and financial activities, and tracks the evolution of its 'economic Constitution' and market trends. It explores a range of topics within Italian regulation, including the regulation of banking activities, investment services and collective portfolio management. It examines in detail the relationship between intermediaries and customers, public offerings of financial instruments and products, public takeover bids, listed companies, insurance and reinsurance business. Among other current topics the authors discuss the link between investor protection and confidence in the financial markets; and assess the financial markets as a source of financing for companies.

Book Italian Banking and Financial Law Intermediaries and Markets

Download or read book Italian Banking and Financial Law Intermediaries and Markets written by D. Siclari and published by Springer. This book was released on 2016-01-12 with total page 223 pages. Available in PDF, EPUB and Kindle. Book excerpt: In today's increasingly global and integrated financial climate, there is an amplified need for cooperation between regulators and supervisors across the globe in order to promote economic growth and maintain competitive markets. However, idiosyncrasies remain within local markets, and for those wishing to participate within them, it is necessary to understand the distinctive qualities of each. This book explores the intermediaries of the Italian financial system. It examines the banks, investment services, electronic payment institutions, insurance companies and credit rating agencies functioning in the country, to explore how Italian regulation functions within the context of a wider harmonizing trend. The authors present a study on the current control models of the Italian markets in the wake of changes induced by the privatization of public banks, the increased size and complexity of the intermediaries, the increased level of competition, and the internationalization of the financial innovation. They explain how the country's financial markets are controlled by a combination of bodies, including the State, the authorities and the market participants themselves.

Book Corporate Boards in Law and Practice

Download or read book Corporate Boards in Law and Practice written by Paul Davies and published by OUP Oxford. This book was released on 2013-11-28 with total page 867 pages. Available in PDF, EPUB and Kindle. Book excerpt: Corporate boards play a central role in corporate governance and are thus regulated in the corporate law and corporate governance codes of all industrialized countries. Yet while there is a common core of rules on the boards considerable differences remain. These differences depend partly on shareholder structure, partly on historical, political and social developments and especially employee representation on the board. More recently, in particular with the rise of the international corporate governance code movement, there is a clear tendency towards convergence, at least in terms of the formal provisions of the codes. This book analyses the corporate boards, their regulation in law and codes and their actual functioning in ten European countries (Belgium, France, Germany, Italy, the Netherlands, Poland, Spain, Sweden, Switzerland and the United Kingdom). It offers the most up to date practical and analytical information on boards in Europe by leading company law experts. The issues addressed include: board structure, composition and functioning (one tier v. two tier, independent directors, expertise and diversity, separating the chair and the CEO functions, information streams, committees, voting and employee representation); enforcement by liability rules (in particular conflicts of interest), incentive structures (remuneration) and shareholder activism.

Available in PDF, EPUB and Kindle. Book excerpt: Nelson Fausto The Greek myth of Prometheus with its picture of a vulture feasting on its chained victimhas traditionallyprovided a visualimageofliverregeneration. Itis apowerful and frightening representationbut ifone were to substitute the vulture by a surgeon and Prometheus by a patient laying on a properly prepared operating table, the outcomeoftheprocedurewould not differ significantlyfrom that describedbyGreek poets. Yet few of us who work in the field have stopped long enough to ask where this myth originated. Did the poet observe a case of liver regeneration in a human being? Was it brilliant intuition or perhaps, literally, just a 'gut feeling' of a poet looking for good rhymes that led to the prediction that livers grow when part of the tissueisremoved? Thisbookdoesnotattemptto solve these historical issues. Itdoes, instead, cover in detail some of the major modem themes of research on liver regen eration, injury and repair. As indicated in Dr. N. Bucher's chapter, the modem phase ofexperimental studies on liver regeneration started in 1931 with the publication by Higgins and Anderson of a method to perform a two-thirds resection of the liver of a rat. The technique described has 3 remarkable features: 1) it is highly reproducible, resulting in the removal of 68% of the liver, 2) it has minimal if any mortality, and 3) it consists only of blood vessel ligation and does not involve cutting through or wounding hepatic tissue.

Book Comparative Company Law

    Book Details:
  • Author : Mathias Siems
  • Publisher : Bloomsbury Publishing
  • Release : 2018-09-20
  • ISBN : 1509909354
  • Pages : 581 pages

Download or read book Comparative Company Law written by Mathias Siems and published by Bloomsbury Publishing. This book was released on 2018-09-20 with total page 581 pages. Available in PDF, EPUB and Kindle. Book excerpt: As attention moves rapidly towards comparative approaches, the research and teaching of company law has somehow lagged behind. The overall purpose of this book is therefore to fill a gap in the literature by identifying whether conceptual differences between countries exist. Rather than concentrate on whether the institutional structure of the corporation varies across jurisdictions, the objective of this book will be pursued by focusing on specific cases and how different countries might treat each of these cases. The book also has a public policy dimension, because the existence or absence of differences may lead to the question of whether formal harmonisation of company law is necessary. The book covers 12 legal systems from different legal traditions and from different parts of the world (though with a special emphasis on European countries). In alphabetical order, those countries are: Finland, France, Germany, Italy, Japan, Latvia, the Netherlands, Poland, South Africa, Spain, the UK, and the US. All of these jurisdictions are subjected to scrutiny by deploying a comparative case-based study. On the basis of these case solutions, various conclusions are reached, some of which challenge established orthodoxies in the field of comparative company law.

Book Alternative Acquisition Models and Financial Innovation

Download or read book Alternative Acquisition Models and Financial Innovation written by Daniele D'Alvia and published by Taylor & Francis. This book was released on 2023-10-11 with total page 175 pages. Available in PDF, EPUB and Kindle. Book excerpt: This is the first book written in English on special purpose acquisition companies (SPACs) in the context of European and Italian financial law, introducing the topic with a general overview on the European stage. It is also the first book on European financial regulations of SPACs. As such, it is a groundbreaking reference text for SPAC studies at the international level. Alternative Acquisition Models and Financial Innovation: Special Purpose Acquisition Companies in Europe, and the Italian Legal Framework offers the most comprehensive overview of the current international financial regulations of SPACs in the EU and UK compared to the main legal system where SPACs originated—the US. This edited book is focused on finding a European legal framework for SPACs by discovering whether the Alternative Investment Fund Managers Directive (AIFMD) or the Undertakings for the Collective Investment in Transferable Securities Directive (UCITS) are applicable to them and why, as well as identifying the objectives of financial regulation of SPACs in the EU, US and UK. Essentially, the edited collection explores soft law and self-regulation instances against the state-based Westphalian approaches centred on hard law instances; describes practical examples of SPACs in Italy and Europe; and analyses the limits and perspectives of such investment vehicles on the Italian capital market as well as their possible uses as forms of shadow banking and venture companies at international levels.

Book Liability of Asset Managers

Download or read book Liability of Asset Managers written by Danny Busch and published by OUP Oxford. This book was released on 2012-03-08 with total page 3328 pages. Available in PDF, EPUB and Kindle. Book excerpt: Given the international nature of the asset management industry, lawyers representing investors, asset managers, and regulators are often confronted with asset management agreements governed by foreign law. This book provides the necessary points of law and practice in the leading jurisdictions allowing lawyers to identify the main pitfalls concerning the foreign law in question. This book is the only comparative analysis of the law of asset manager liability in the major European jurisdictions, the United States, and Canada, each written by specialists from the relevant jurisdiction. This is a much-needed guide on the disparate regulation of asset manager liability in these countries highlighting the absence of uniformity in this area of law despite the implementation of MiFID in Europe. The section on European law provides an overview of the regulation in this field regionally and provides the context in which the national chapters explore the regulation at country level. The comparative evaluation at the end of the book provides a thoughtful assessment of the impact of regulatory frameworks on asset managers private law duties and liabilities. The Introduction situates the country-by-country material within the broader context of questions about regulatory design and effectiveness.

Book Corporate Governance and Initial Public Offerings

Download or read book Corporate Governance and Initial Public Offerings written by Alessandro Zattoni and published by Cambridge University Press. This book was released on 2012-03-22 with total page 613 pages. Available in PDF, EPUB and Kindle. Book excerpt: Initial Public Offerings (IPOs) are unique economic and governance events as privately held firms issue common stock or shares to the public for the first time. The governance issues surrounding IPOs are relatively unexamined compared to more established, and usually larger, firms. As such, they provide a unique context to study corporate governance and its development around the world. Based on a collaborative international research project, this book analyses the corporate governance of IPOs in twenty-one countries, each of which is characterized by different governance environments and different levels of IPO activity. The end result is a broad and deep assessment of governance practices and IPO activity for an array of economies that represent roughly 80 percent of the global economy. These chapters collectively provide new insights into what a global theory of corporate governance might look like and offer guidance to policy makers and academics regarding national governance configurations.

Book Boundaries of Personal Property

Download or read book Boundaries of Personal Property written by Arianna Pretto-Sakmann and published by Bloomsbury Publishing. This book was released on 2005-08-15 with total page 273 pages. Available in PDF, EPUB and Kindle. Book excerpt: This study of the boundaries of personal property has an inward and an outward perspective, with the intellectual emphasis on the latter. The inward-looking inquiry considers shares as items of personal property. Nowadays those who think of themselves as shareholders often stand one step removed from the share itself. They hold what this book christens a sub-share. This part of the book asks in what sense shares and sub-shares can be conceived to be things, how those things are alienated, and how they are protected in litigation. The outward-looking inquiry then asks whether personal property can be contemplated as a sub-category of the law of things and, more particularly, as the law of all things locatable in space, alienable, or vindicable in court. The outward inquiry considers three boundaries. Within the law of property the line between realty and personalty proves relatively uncontroversial; the second boundary lies between property and obligations; the third between wealth and non-wealth. The second boundary is the main concern. Respect for it necessitates a differentiation between the law of property in the strict sense and the all-encompassing law of wealth, even where the consequence might be to exclude shares and sub-shares from the law of property. In maintaining the value of careful proprietary taxonomy and in reviving the underlying concepts on which it depends, this book opposes modern scepticism as to the possibility and desirability of precision in legal classification. In these commitments it could fairly be styled a post-modern study of personal property. Winner of the SLS Birks Prize for Outstanding Legal Scholarship 2006 - Second Prize.
