Book excerpt: Le droit marocain des sociétés permet au juge d’intervenir au cours de la vie sociale, pour résoudre des dissensions ou des difficultés internes qui risquent de compromettre l’activité normale de la société.C’est par le biais de la structure collective et des rapports des associés entre eux que le juge s’est introduit dans la vie sociale. Son intervention peut mener à une remise en cause des actes de gestion ou de la politique sociale ou économique. Le juge peut se substituer aux organes sociaux légaux et prendre lui-même des décisions de gestion ou de fonctionnement. De même, le juge est invité par la loi à apprécier les chances de la survie et de redressement d’une entreprise pour décider de son sort. A cette fin le législateur marocain a donné au Tribunal de commerce un rôle central dans la direction de la procédure collective de l’entreprise en difficultés. Ainsi, c’est le tribunal qui ouvre la procédure, mais c’est aussi lui en nomme et remplace les organes et en définit les pouvoirs qui autorisent les actes graves. Le tribunal intervient à tout moment de la procédure pour prendre les décisions les plus importantes et décider les orientations majeures de la procédure collective. La loi 17-95 modifie par la loi n° 81-99 ; et la loi 5-96 et aussi la loi 15-95.

Il conjugue alors l'indépendance de droit des entités le composant avec un contrôle de fait exercé sur ces mêmes entités. des prix " dans les transactions qu'elles effectuent entre elles. En effet, ce genre de sociétés fixe les prix des transactions internes non pas en fonction des contraintes du marché et de la concurrence mais sur la base de considérations propres. Chaque société concourt à la réalisation de son intérêt social. Toutefois, toutes ces sociétés se trouvent soumises au même pouvoir de commande et de décision qui en unifie le cheminement pour la réalisation de l'intérêt général. Cet intérêt général supérieur n'est autre que celui du groupe pris dans son ensemble. IL transcende celui particulier de ses membres. Mais, la loi nie l'existence d'un quelconque intérêt supérieur et par conséquent ne reconnaît pas le groupe en tant que sujet de droit. Et ce en dépit de son existence matérielle et de sa réalité économique. Certes, la législation marocaine contient certaines dispositions éparses réglementant quelques aspects particuliers du groupe Toutefois, cela ne vise pas à reconnaître son existence mais juste pour corriger ses disfonctionnements.Tel est le cas, par exemple, des lois fiscales qui reposent sur le principe de la personnalité de l'impôt qui signifie que chaque société est imposée distinctement. Toutefois, lorsqu'il est établi que des liens de dépendance existent entre deux sociétés distinctes, l'administration fiscale intervient pour empêcher ces dernières d'exploiter leurs interférences dans le but de réduire la facture fiscale. L'intervention de l'administration fiscale ne vise pas à faire bénéficier les sociétés dépendantes d'une quelconque reconsidération due à la nature particulière de leur indépendance, qui n'est d'ailleurs que de façade, et encore moins de reconnaître leur appartenance à une structure particulière dite " groupe ".Mais, elle s'intéresse simplement à rétablir " la vérité des prix"dans les transactions qu'elles effectuent entre elles. En effet, ce genre de sociétés fixe les prix des transactions interne non pas en fonction des contraintes du marché de la concurrence mais sur la base de considérations propres

Book excerpt: This book contains selected contributions presented during the workshop “Establishing Filiation: Towards a Social Definition of the Family in Islamic and Middle Eastern Law?”, which was convened in Beirut, Lebanon in November 2017. Filiation is a multifaceted concept in Muslim jurisdictions. Beyond its legal aspect, it encompasses the notion of inclusion and belonging, thereby holding significant social implications. Being the child of someone, carrying one’s father’s name, and inheriting from both parents form important pillars of personal identity. This volume explores filiation (nasab) and alternative forms of a full parent-child relationship in Muslim jurisdictions. Eleven country reports ranging from Morocco to Malaysia examine how maternal and paternal filiation is established – be it by operation of the law, by the parties’ exercise of autonomy, such as acknowledgement, or by scientific means, DNA testing in particular – and how lawmakers, courts, and society at large view and treat children who fall outside those legal structures, especially children born out of wedlock or under dubious circumstances. In a second step, alternative care schemes in place for the protection of parentless children are examined and their potential to recreate a legal parent-child relationship is discussed. In addition to the countr y-specific analyses included in this book, three further contributions explore the subject matter from perspectives of premodern Sunni legal doctrine, premodern Shiite legal doctrine and the private international law regimes of contemporary Arab countries. Finally, a comparative analysis of the themes explored is presented in the synopsis at the end of this volume. The book is aimed at scholars in the fields of Muslim family law and comparative family law and is of high practical relevance to legal practitioners working in the area of international child law.
