L'étude montre que l'abus dans l'exécution du contrat est une faute de comportement, un manquement à une règle de conduite, abstraction faite de l'exercice du droit. Ce constat mène à déterminer la responsabilité qui en découle : celle-ci se déduit de la nature de la faute commise et se spécifie conformément au principe du non-cumul de la responsabilité contractuelle et de la responsabilité délictuelle.

Book excerpt: L'abus est, dans le contrat, une notion délétère dont l'usage incertain ne laisse d'inquiéter. Un ordre semble pourtant se dessiner derrière la diversité confuse des qualifications. L'observation révèle en effet que les différents cas d'abus ne saisissent pas la relation contractuelle sur le même plan : les uns s'intéressent au comportement du contractant, les autres visent à préciser le contenu obligatoire du contrat. En affinant cette distinction, l'analyse du droit positif montre que toutes les qualifications se distribuent selon trois modes. Le manquement à la loyauté appelle l'abus. L'usage de la liberté contractuelle au détriment des faibles ou de l'ordre concurrentiel appelle l'abus. L'invocation de la lettre d'une clause en infidélité à son esprit appelle l'abus. Sur cette base, la thèse se propose de cerner la nature comme le régime de chacune de ces formes d'abus et de les articuler dans une théorie d'ensemble. Remis dans leur problématique respective, les trois genres d'abus dans le contrat peuvent avancer d'une manière cohérente et combiner leurs vertus propres au lieu de se disputer leur domaine. Dans sa globalité, la qualification d'abus devient ainsi plus prévisible.

Nous avons voulu croire que le paysage jurisprudentiel de l'abus était moins confus qu'il n'y paraissait en proposant de distinguer les clauses qui sont abusives au moment de la formation du contrat de celles qui sont abusives au moment de leur exécution. Dans ce cas comme dans l'autre, la notion d'abus renvoie à un régime propre en droit du travail. Dès la conclusion du contrat, un certain nombre de clauses sont déclarées abusives et méritent d'être annulées au nom de l'ordre public. Il existe donc, à côté des clauses que le législateur interdit expressément, une multitude de clauses qui sont déclarées illicites en fonction de critères d'ordre général et que nous qualifions d'abusives. D'un autre côté l'abus vient sanctionner des clauses qui ne semblent pas, à première vue, illicites mais qui sont mises en oeuvre dans des conditions qui paraissent abusives. Qu'il soit question de juger de la force des droits en fonction de leur finalité ou de porter un jugement de valeur sur le comportement des parties, l'abus de clause reprend les deux définitions bien connues de l'abus de droit.

Book excerpt: This book is about one of the most controversial dilemmas of contract law: whether or not the unexpected change of circumstances due to the effects of financial crises may under certain conditions be taken into account. Growing interconnectedness of global economies facilitates the spread of the effects of the financial crises. Financial crises cause severe difficulties for persons to fulfill their contractual obligations. During the financial crises, performance of contractual obligations may become excessively onerous or may cause an excessive loss for one of the contracting parties and consequently destroy the contractual equilibrium and legitimate the governmental interventions. Uncomfortable economic climate leads to one of the most controversial dilemmas of the contract law: whether the binding force of the contract is absolute or not. In other words, unstable economic circumstances impose the need to devote special attention to review and perhaps to narrow the binding nature of a contract. Principle of good faith and fair dealing motivate a variety of theoretical bases in order to overcome the legal consequences of financial crises. In this book, all these theoretical bases are analyzed with special focus on the available remedies, namely renegotiation, rescission or revision and the circumstances which enables the revocation of these remedies. Book excerpt: The Association Henri Capitant des Amis de la Culture Juridique Française and the Société de législation comparée joined the academic network on European Contract Law in 2005 to work on the elaboration of a "common terminology" and on "guiding principles" as well as to propose a revised version of the Principles of European Contract Law (PECL). The results of this work were sent to the European Commission and have already been published in French. The English translation is now being published by sellier.elp. This work could contribute to the wider European project. The part on the guiding principles could be a component of the CFR, in the form of "black letter" model rules or recitals. The part on terminology is, in itself, useful for the elaboration of the final various linguistic versions of the CFR. It finds its place within the materials which will accompany the model rules. Last but by no means least, the revised version of the PECL should be considered by the European institutions as an alternative set of model rules on contract law.
