It is also necessary to identify and assess risks to determine FSA intervention.

Book Illusions of Liberalization

Download or read book Illusions of Liberalization written by Benn Steil and published by Chatham House (Formerly Riia). This book was released on 1995 with total page 60 pages. Available in PDF, EPUB and Kindle. Book excerpt: Rapidly rising share prices in the 1980s served to hide significant inefficiencies in the Japanese securities markets, many of which derive directly from the operation of the regulatory system. While these inefficiencies are becoming increasingly costly and transparent in the more sober market environment of the 1990s, the regulatory structure at the heart of the problem remains fundamentally untouched. The European Community, meanwhile, is working to construct a Community-wide regulatory umbrella for securities markets, and is in danger of succumbing to the most damaging tendency of the Japanese authorities. This is to view the markets not in terms of their ultimate services, but rather in terms of the interests of incumbent service providers. Directives which are supposed to facilitate free and open cross-border competition are instead being used to protect Member State producer interests.

Book The Formation and Transformation of Securities Law in Japan

Download or read book The Formation and Transformation of Securities Law in Japan written by Andrew Pardieck and published by . This book was released on 2015 with total page 91 pages. Available in PDF, EPUB and Kindle. Book excerpt: It has been a tumultuous decade for Japanese securities markets. The collapse of the Bubble and advent of the Big Bang have reshaped the markets and spurred significant foreign investment. The newspapers are filled with accounts of mergers, acquisitions, and bankruptcies. Less widely reported, but equally important, has been the dramatic shift in Japanese securities law. Prior to the 1990s, private enforcement of Japanese securities law was “virtually non-existent.” The collapse of the Bubble, a regulatory vacuum and unsatisfactory alternative dispute resolution changed this. There has been a litigation explosion resulting in new judicial norms. A proactive judiciary has imposed duties on securities companies and created private causes of action for investors without basis or counterpart in the Japanese Securities Exchange Law. These judicial norms, more than administrative or private norms, have come to regulate the retail securities markets. As with previous periods of judicial activism, the central government has stepped in with new legislation. However, in contrast to earlier retrenchments that removed disputes from the purview of the judiciary, the Diet has codified the new private causes of action and reinforced the role of the judiciary. The changes in Japanese securities law are illustrative of a remarkable shift in Japanese law and present an opportunity to better understand the changing roles of administrative agencies and the judiciary in Japan. These changes also present opportunities, as well as hidden pitfalls, for foreign financial institutions operating in Japan. This paper explores an important area and period of Japanese law that has thus far received little attention.

Book excerpt: This Technical Note discusses the findings and recommendations made in the Financial Sector Assessment Program for Japan in the areas of regulation and supervision of securities firms. The supervision of the two major Japanese securities groups and the Japanese subsidiaries of global banking groups deserves special attention, given the domestic and cross-border interconnectedness of these firms. The authorities should continue to ensure that the supervisory teams for the major Japanese groups have access to sufficient number of experienced staff. It is also important to continue to enhance the existing international cooperation in the supervision of Japanese firms’ overseas operations and foreign-owned firms’ activities in Japan.

Book Token as Value Rights Token Offerings and decentralized Trading Venues Japanese

Download or read book Token as Value Rights Token Offerings and decentralized Trading Venues Japanese written by Josef Bergt and published by BoD – Books on Demand. This book was released on 2020-07-02 with total page 346 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book was translated from German into Japanese by means of artificial intelligence (machine translation). This academic paper deals with both civil (securities) law and regulatory (securities) law aspects. Thus, a summary of the property law is provided, which deals with the classification of tokens under Liechtenstein law. Furthermore, dematerialized securities, which have been known to the Liechtenstein legal system for almost 100 years, will be discussed. The civil and corporate law focus is on Liechtenstein, while the Swiss corporate law and the general civil law of Austrian law are also taken into account. The supervisory part of the work is clearly in the focus of Union law, but also takes into account national specialties of Liechtenstein, Austria and Germany in addition to European legal acts. Thus, tokens and token-based business models are also examined in the light of European legal acts such as MiFIR, MiFID II, CRR, CRD IV, CSDR, EMIR, AIFMD, UCITSD, E-Money Directive II, PSD II, MAD/MAR, Prospectus Regulation, 5th AML Directive and other regulations, directives, as well as implementing regulations and delegated regulations. A special focus is placed on crypto exchanges and decentralized trading places (DEX). In addition, a focus will be placed on consumer law in terms of tokens and distance selling contracts, taking into account the Consumer Rights Directives. In this context, tokens as data or software and thus as digital content and consequently merchandise are also dealt with in more detail and the parallels to tokens as tokens with intrinsic value or virtual currencies in contrast to fiat money are shown. Furthermore, the author aims at explaining deposit business, e-money transactions and financial instruments as communicating vessels in contrast to virtual currencies. Although this is primarily a legal work, technical aspects of Distributed Ledger Technologies, such as the blockchain, smart contracts, agoric computing, self-sovereign identity, etc. - as far as this is necessary for the legal assessment - are also explained in more detail. The present discussion is to be understood as scientific work with practical relevance for advice in connection with blockchain based business models.
