Si distinguono, infatti, covered warrant di stile europeo, che consentono di esercitare il diritto solo alla scadenza, e covered warrant di stile americano, che consentono l’esercizio del diritto in ogni momento, dal primo giorno di negoziazione fino alla data di scadenza. I covered warrant rappresentano un’evoluzione dei tradizionali warrant. I Warrant sono emessi da società per azioni nell’ambito di un aumento di capitale condizionato, e sono quasi sempre abbinati a un’obbligazione (si parla, infatti, di obbligazione cum warrant). Tali strumenti si riferiscono ad azioni di nuova emissione. Con l’esercizio del warrant la società aumenta il capitale proprio e il numero delle azioni in circolazione. A emettere covered warrant sono soprattutto le banche o loro società affiliate. Questi warrant hanno come sottostante attività già negoziate su diversi mercati. I covered warrant possono avere come sottostante le seguenti attività finanziarie: • Azioni italiane o estere a elevata liquidità quotate in Borsa in Italia o in un altro stato. • Titoli di Stato a elevata liquidità negoziati sui mercati regolamentati. • Tassi di interesse ufficiali o generalmente utilizzati sul mercato dei capitali. • Valute, la cui parità di cambio sia rilevata con continuità dalle autorità. • Indici o panieri di indici, notori e caratterizzati da trasparenza nei metodi di calcolo e diffusione. • Materie prime, quali oro, petrolio, caffè.
