Book Inside Information and Securities Trading A Legal and Economic Analysis of the Foundations of Liability in the U S A and European Community

Download or read book Inside Information and Securities Trading A Legal and Economic Analysis of the Foundations of Liability in the U S A and European Community written by Bernhard Bergmans and published by Springer. This book was released on 1991-10-29 with total page 248 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book thoroughly re-examines the foundations of liability in respect of insider dealing in the USA and EC in order to find clear guidelines for future judical, administrative and legal action, and develops a new approach to insider dealing regulation. Despite the considerable legislative, administrative and judical efforts in the USA to curtail insider trading it is not clear what the bases for such prohibition are, In law or policy. The dramatic increase in insider trading activity in recent years renders more intense the requirement for a rational and explicit basis for such liability to fulfil the needs of elementary justice. Through a different historical route efforts to tackle the same problem in Europe, particularly over the last ten years by the European Commission, have resulted in a similar legal dichotomy: a legal basis for liability is established but its foundation is insufficiently scrutinized, which will become apparent as the new European Insider Trading Directive is interpreted.

Book Market Abuse Regulation in South Africa the United States of America and the United Kingdom

Download or read book Market Abuse Regulation in South Africa the United States of America and the United Kingdom written by Howard Chitimira and published by Vernon Press. This book was released on 2018-05-15 with total page 236 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book provides a concise comparison of the regulation and enforcement of the anti-market abuse laws (insider trading and market manipulation) in South Africa, the United States of America (USA) and United Kingdom (UK). Bringing together a number of previously published articles, the book provides a novel discussion of the challenges associated with the enforcement of market abuse laws in both developing countries such as South Africa and developed ones such as the USA and the UK. This is primarily done to examine and expose the current strengths and weaknesses of market abuse laws in relation to certain aspects of the corporate, securities and financial markets environments in South Africa, the USA and the UK. Accordingly, chapters two to five of the book unpack the regulation and enforcement of market abuse laws in South Africa and the USA in a comparative perspective. Thereafter, chapters six to eight of the book discuss the regulation and enforcement of market abuse laws (Financial Markets Act 19 of 2012) and other related statutes in South Africa and the UK. The book proposes some measures that could be utilised to enhance the enforcement of anti-market laws in South Africa, USA and the UK. New market abuse-related challenges that occurred during the global financial crisis are also briefly discussed. The book further provides a relatively adequate overview of the comparative analysis of the regulation of market abuse in South Africa versus two key developed and respected jurisdictions, namely, the USA and the UK. Accordingly, it is hoped that the book can aid regulatory authorities, financial market participants, academics, students and other interested readers to understand market abuse offences and possible measures that could be employed to combat such offences.

Book Civil Liability of Securities Underwriters

Download or read book Civil Liability of Securities Underwriters written by Olia Skripova and published by . This book was released on 2015 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book is dedicated to the Law and Economics analysis of civil liability of securities underwriters, for the damage caused by material misstatements of corporate information by securities issuers. It starts by looking at securities underwriters from a practical and business perspective, asserting that they are undeniably indispensable and central figures in the process of securities offering. From the economics point of view, their main value comes from their ability to monitor the issuer's disclosure during the distribution of securities, to ensure that such disclosure does not contain materially misleading statements or omissions and to take preventive action if needed. This is known as the gatekeeping function of securities underwriters. Further, it is investigated whether there is a need for additional incentives for securities underwriters in order to make them perform the gatekeeping function well, as different market-based and legal enforcement mechanisms already exist. To determine the expected civil liability, the book considers five main components of liability regimes in the US, the EU, the Netherlands, and the UK - potential parties to a dispute, the liability standard, the measure of damages, the procedural rules, and the nature of the liability rules. This analysis leads to the conclusion that, in all of these countries, the expected civil liability threat is likely to be insufficient to encourage meaningful compliance by securities underwriters, and there might be a systematic under-enforcement of the underwriter's gatekeeping function. As a possible solution to the drawbacks of existing underwriter civil liability systems in each of the countries analyzed, it is suggested there should be a switch from the current negligence liability to strict liability. This should be coupled with placing the burden of proof of loss causation on the plaintiff and capping damages by the amount of the underwriting fee. Book Legal Challenges in the Global Financial Crisis

Download or read book Legal Challenges in the Global Financial Crisis written by Wolf-Georg Ringe and published by Bloomsbury Publishing. This book was released on 2014-10-01 with total page 288 pages. Available in PDF, EPUB and Kindle. Book excerpt: The global financial and economic crisis which started in 2008 has had devastating effects around the globe. It has caused a rethinking in different areas of law, and posed new challenges to regulators and private actors alike. One of the emerging issues is the apparent eclipse of boundaries between different legal disciplines: financial and corporate lawyers have to learn how public law instruments can complement their traditional governance tools; conversely, public lawyers have had to come to understand the specificities of the financial markets they intend to regulate. While commentary on financial regulation and the global financial crisis abounds, it tends to remain within disciplinary boundaries. This volume not only brings together scholarship from different areas of law (constitutional and administrative law, EU law, financial law and regulation), but also from a variety of backgrounds (academia, practice, policy-making) and a number of different jurisdictions. The volume illustrates how interdisciplinary scholarship belongs at the centre of any discussion of the economic crisis, and indeed regulation theory more generally. This is a timely exploration of cutting-edge issues of financial regulation.
