Book excerpt: Corporate Governance practices of MFIs (Microfinance Institutions) across different economies have been known to affect the firm performance. This study explores the practices and key board features (Audit Committees, Independent Directors, International Directors, CEO-Board Chairman duality, Board Size and Director's Skills) that may have effect on the financial performance of 'for profit' MFIs in India. The study identifies Board Size and presence of International Directors to have negative impact on the profitability of MFIs while the Directors' financial skills are found to have a positive impact on the profitability. No effect of CEO-Board Chairman dual role and audit committees was found on the MFI profitability.

Governance issue arises whenever a corporate entity acquires a life of its own and the ownership of the enterprise is separated from the management. Corporate Governance is needed to create a corporate culture of consciousness, transparency and openness. It enables a company to maximize the long term value of the company which is seen in terms of performance of the company. In this context, an attempt is made in this paper to study various Corporate Governance practices followed by companies in India, Japan and South Korea. A sample of five multinational companies from each country is studied based on the Corporate Governance practices that are being followed by them. This will include parameters like Board Constitution, Board Structure, Different Committees, Independent Directors and their roles, Conflict of interest and Disclosure of information. The objective is to determine if there is a relationship between corporate governance and firm performance. The study will check whether higher and better corporate governance scores lead to better performance of the companies. It is found in the study that corporate governance practices have limited impact on both the share prices of the companies as well as on their financial performance.

Book excerpt: The purpose of this paper is to examine the impact of corporate governance on firm's financial performance in the Indian context. The study is based on the 121 companies listed on the Bombay Stock Exchange (BSE), India, for the period 2010-2011. It is based on a self-designed structured questionnaire. The study highlights the significance of transparency disclosure and good governance policies of the firm and the relative advantage thereof to the firm in the Indian context for the first time to the best of our knowledge. Distinct from previous empirical research, it develops its own index to measure the transparency and level of disclosure. Tamhane T2 post hoc test is also applied for the first time in the study related to corporate governance. The study finds a positive and significant relationship between the level of transparency and firm's financial performance. Similarly, corporate governance policies and practices of the firm are also found to be positively related to firm performance. The results also suggest that corporate governance policies and transparency and disclosure are positively and significantly correlated.

Book excerpt: This paper examines the impact of corporate governance (CG) on financial performance (FP) considering the endogeneity between governance and firm characteristics using a sample of large listed Indian firms from 2008 to 2011. We construct a "CG Index" based on six important governance mechanisms covering a total of 44 attributes affecting the governance of Indian companies. The panel data regression is employed for empirical analysis. The results indicate that CG has a strong influence on performance of Indian firms. We also find that firms with promoter dominated boards and lower leverage report better performance while firm size negatively impacts performance.

Book excerpt: Microfinance contracts have proven able to secure high rates of loan repayment in the face of limited liability and information asymmetries, but high repayment rates have not translated easily into profits for most microbanks. Profitability, though, is at the heart of the promise that microfinance can deliver poverty reduction while not relying on ongoing subsidy. The authors examine why this promise remains unmet for most institutions. Using a data set with unusually high quality financial information on 124 institutions in 49 countries, they explore the patterns of profitability, loan repayment, and cost reduction. The authors find that institutional design and orientation matter substantially. Lenders that do not use group-based methods to overcome incentive problems experience weaker portfolio quality and lower profit rates when interest rates are raised substantially. For these individual-based lenders, one key to achieving profitability is investing more heavily in staff costs-a finding consistent with the economics of information but contrary to the conventional wisdom that profitability is largely a function of minimizing cost.
