Questo testo, “Il Project Financing tra pubblico e privato - Problemi, scenari e prospettive”, è un testo destinato innanzitutto a chi intende affrontare uno studio meticoloso e critico di questo istituto concepito nei Paesi anglosassoni, recepito dal nostro ordinamento solo dopo una serie interventi volti a migliorarne l’efficacia, ma che, ciò nonostante, ancora stenta ad armonizzarsi con la legislazione preesistente. Inoltre “Il Project Financing tra pubblico e privato - Problemi, scenari e prospettive” risulterà utile anche ai professionisti e agli operatori, appartenenti ai diversi settori del mondo economico e istituzionale, coinvolti nella concreta realizzazione dei progetti di tipo infrastrutturale.Gary Louis Pietrantonio è nato a Bologna nel 1978. Si è laureato summa cum laude presso l’Università di Bologna. E’ diventato avvocato nel 2006. Attualmente collabora con lo studio internazionale Fieldfisher presso le sedi di Bologna e Milano. Ha, inoltre, conseguito il titolo di dottore di ricerca (Ph.d) presso l’Università di Bologna e un Master of European Business Law (LL.m) presso l’università di Njmegen (Olanda). Svolge attività didattica, nell’ambito di Master universitari, in materia di contratti pubblici e di governance delle società pubbliche. E’ autore di pubblicazioni in materia di diritto commerciale, di Project Financing e di diritto sportivo. La sua attività professionale si concentra, prevalentemente, sui profili legali del project financing avendo collaborato alla realizzazione di importanti operazioni del settore sia per conto di stazioni appaltanti che di istituzioni finanziarie. Grazie all’esperienza svolta presso studi legali internazionali, ha collaborato anche alla implementazione di Project Financing riguardanti giurisdizioni straniere. Ha, altresì, maturato significative esperienze nella cura dei profili legali di operazioni di M&A, scissioni, riorganizzazioni societarie, conferimenti di rami d'azienda e ristrutturazioni del debito concernenti persone giuridiche private e pubbliche.

Nell’ambito di tali istituti gli investimenti vengono effettuati dal privato e le risorse finanziarie da quest’ultimo impiegate vengono remunerate attraverso gli introiti connessi alla gestione delle opere realizzate. Si tratta di quella che in ambito anglosassone è nota come Public Private Partnership (PPP). Le opere si distinguono in calde, tiepide o fredde in relazione alla loro attitudine di garantire o meno, in autonomia, introiti sufficienti alla remunerazione delle risorse investite. In alternativa ai contratti di concessione vi è l’ipotesi di appalto tout court in cui la Pubblica Amministrazione è committente e finanziatore dell’opera. La prima parte del lavoro, di carattere metodologico, riguarda l’identificazione delle condizioni di equilibrio tra il pubblico e il privato nella strutturazione dei progetti di PPP. La seconda parte adotta invece l’ottica più microeconomica del privato con un focus sulle analisi di valore e capital budgeting in fase di proposta e gara e sul costo del capitale. La terza parte, infine, si concentra sull’esame della normativa che disciplina il PPP, con specifico riferimento alle principali novità introdotte con l’approvazione del Codice dei Contratti Pubblici.
