Book excerpt: A più di due anni dalla prima edizione, le numerose novità intervenute nella disciplina della responsabilità amministrativa delle persone giuridiche, contenuta nel D.Lgs. 8 giugno 2001, n. 231, hanno reso opportuno un aggiornamento del volume. L’introduzione dei reati ambientali, le modifiche inerenti all’organo di vigilanza, le pronunce giurisprudenziali che hanno ampliato la platea dei destinatari del decreto: sono alcune delle novità contenute in questo lavoro che, muovendo dalla disamina dell’ambito applicativo del decreto, dei soggetti coinvolti, degli illeciti rilevanti e del sistema sanzionatorio, giunge all’analisi dei mezzi di prevenzione idonei ad evitare l’insorgere stesso dei reati. Particolare attenzione è volta alla validità esimente dei modelli organizzativi, con l’intento di dimostrare che la loro adozione, lungi dal rappresentare l’ennesimo onere posto a carico degli enti, fornisce piuttosto a questi ultimi l’opportunità di istituire un efficiente sistema di governance e di gestione dei rischi al fine di conferire trasparenza alle procedure interne e migliorare l’immagine pubblica. La relativa decisione rientra in una politica che deve essere definita dai vertici amministrativi dell’ente, sui quali grava quanto meno il dovere di verificare l’esposizione al rischio-reato della società amministrata. Attraverso la descrizione delle procedure per la realizzazione dei modelli e l’analisi del funzionamento dell’organo di vigilanza, nel volume si evidenzia la centralità del ruolo del professionista economico-giuridico, le cui competenze risultano indispensabili al soggetto che intenda implementare il proprio sistema di compliance aziendale in modo corretto ed efficiente. Completano l’opera alcuni strumenti tecnici - valutazione del sistema di controllo interno, mappe dei rischi, check lists, questionari, interviste, flow chart, codice etico, sistema disciplinare, regolamento dell’organismo di vigilanza - utili ai fini dello svolgimento dell’attività di consulenza nei confronti dell’impresa che voglia adottare il “modello 231”. Solamente in questo modo il lettore potrà avere un quadro, per quanto possibile, completo sotto ogni punto di vista e sfruttare a proprio favore i contenuti di quella parte della materia a lui meno avvezza. La responsabilità degli enti si muove, infatti, su un doppio binario parallelo (processuale e consulenziale) non sempre comune al singolo professionista. La dicitura “responsabilità amministrativa” è stata intenzionalmente cancellata in luogo della “responsabilità penale”. Si tratta certamente di una provocazione scaturita dalla consapevolezza che nell’articolato normativo la “natura amministrativa” di tale responsabilità è difficile da rintracciarsi.

It consists of chapters written by leaders in the respective field, who address transparency in a range of civil and common law jurisdictions, along with overview chapters. Each chapter reviews the transparency principles applicable in the jurisdiction discussed. Whether expressly or impliedly, all jurisdictions recognize a duty on the part of the insured to make a fair presentation of the risk when submitting a proposal for cover to the insurers, although there is little consensus on the scope of that duty. Disputed matters in this regard include: whether it is satisfied by honest answers to express questions, or whether there is a spontaneous duty of disclosure; whether facts relating to the insured’s character, as opposed to the nature of the risk itself, are to be presented to the insurers; the role of insurance intermediaries in the placement process; and the remedy for breach of duty. Transparency is, however, a much wider concept. Potential policyholders are in principle entitled to be made aware of the key terms of coverage and to be warned of hidden traps (such as conditions precedent, average clauses and excess provisions), but there are a range of different approaches. Some jurisdictions have adopted a “soft law” approach, using codes of practice for pre-contract disclosure, while other jurisdictions employ the rather nebulous duty of (utmost) good faith. Leaving aside placement, transparency is also demanded after the policy has been incepted. The insured is required to be transparent during the claims process. There is less consistency in national legislation regarding the implementation of transparency by insurers in the context of handling claims.
