In altri ordinamenti, le forme organizzative che la gestione collettiva del risparmio può assumere ricomprendono, da lungo tempo, ulteriori schemi, tra i quali, ovviamente, il trust – vero e proprio “archetipo” logico-concettuale della categoria degli organismi di investimento collettivo – le forme societarie non appartenenti al genus delle società di capitali, nonché le partnership. Il volume si propone l’obiettivo di ricostruire, sulla base della disciplina europea (Direttiva AIFMD e Direttiva UCITS) e delle disposizioni del Testo Unico della Finanza, la nozione generale di OICR, ponendone in luce gli elementi qualificanti. La portata spiccatamente funzionale della normativa europea, che tende a prescindere dagli schemi che, concretamente, può assumere l’OICR, consente altresì di indagare i profili di contatto tra forme contrattuali (il fondo comune di investimento) e forme statutarie (SICAV e SICAF), quali disciplinate, in particolare, nel sistema italiano. I due schemi organizzativi presentano, in effetti, numerosi punti di convergenza, che testimoniano un intenso fenomeno di circolazione delle regole tra due modelli apparentemente molto diversi. Gli schemi che provengono dal diritto comune vengono così piegati al perseguimento delle finalità di policy legislativa, in primis rappresentate dalla protezione e dalla tutela degli investitori, e dal buon funzionamento del mercato.
