Oggetto del primo capitolo sono la teoria del trade-off, che contrappone i costi e benefici relativi ad una certa scelta, la pecking order theory, incentrata sulle problematiche di asimmetria informativa, la free cash flow theory, legata ai problemi di agenzia e collegata alle operazioni di leverage buy-out degli anni ’80, e la teoria del ciclo di vita del prodotto. Nel secondo capitolo, invece, l’attenzione è sulle tematiche relative all’incompletezza contrattuale e la trattazione verte sull’assegnazione dei diritti residuali di controllo in base al verificarsi di segnali contingenti. Il terzo capitolo, infine, prende in esame tre differenti modelli empirici, con l’obiettivo di fornire riscontri pratici sulle tematiche oggetto di discussione. Viene analizzata l’evoluzione del leverage delle imprese, richiamato il modello di Modigliani-Miller ed in particolare il teorema relativo alla politica dei dividendi, e preso in esame uno studio effettuato su un campione di imprese nel contesto italiano, analizzando la struttura finanziaria delle imprese in relazione con la strategia di diversificazione, con l’obiettivo di capire la direzionalità del legame causa-effetto che lega tali costrutti.

The purpose of the workshop was to foster the growth of a European network of scholars and to help create a "European perspective" in studying strategic change. The ten chapters in this book were first presented in Venice in May 1991 and have been substantially revised since then. The ten commentaries on the chapters are in most cases substantial developments of the oral responses made at the workshop, as indeed is the final review chapter by Andrew Van de Ven. The theme of this book, the study of strategic change processes, remains as theoretically alive and empirically real in the 1990s as it did in the 1980s. For many organizations in the European and North American context, the 1980s was an era of radical change. In this respect there is a wide array of examples. Structural changes in old industries such as coal, shipbuilding, steel, and heavy engineering led to a great employment loss and the impoverishment of certain regional economies that had remained dependent on those industries.
