La condition est d’abord une relation de subordination à un évènement incertain qui n’a aucun impact sur l’existence du lien contractuel, ce qui la distingue des conditions de validité, mais est susceptible d’affecter tous les effets spécifiques du contrat, qu’ils soient constitutifs, translatifs, ou extinctifs. Ainsi, la présentation traditionnelle qui fait de la condition une « modalité de l’obligation », et qui légitime par là même son étude avec le régime de celle-ci, est par trop réductrice. Sa fonction est ensuite d’introduire dans le champ contractuel les motifs qui ont présidé à la conclusion du contrat afin de protéger les parties contre le risque d’inutilité ou de dangerosité de l’engagement souscrit. Cette vision renouvelée de la notion condition permet de modifier l’appréhension de son jeu. Parce que la condition suspensive n’empêche que la production de l’efficacité de la convention, la situation contractuelle précédant l’arrivée de l’évènement s’explique, non par l’existence d’une obligation en germe ou d’un droit au bénéfice de la condition, mais par celle d’un lien contractuel doté de force obligatoire. Quant à l’automaticité et à la rétroactivité qui sont encore aujourd’hui considérées comme les traits caractéristiques de son jeu, elles doivent à nouveau être soumises à l’analyse. La première est en effet sérieusement affectée par la faculté de renonciation à la défaillance de la condition reconnue par la jurisprudence, et la seconde n’a pas l’évidente nécessité qu’on lui prête encore parfois.

Book excerpt: L'abus en droit des contrats apparaît communément comme une notion classique, renvoyant notamment à de célèbres théories juridiques, lesquelles, bien qu'impropres à refléter l'état du droit positif, constituent toujours une référence quasi-sacrée du fait de la renommée de leurs auteurs. De plus, la question de l'abus, même circonscrite à la matière contractuelle, s'est développée ces dernières années sous l'impulsion d'une jurisprudence novatrice et d'une activité doctrinale soutenue. Cependant, malgré son classicisme et le vif intérêt dont elle fait aujourd'hui l'objet, la notion d'abus semblait mériter qu'une nouvelle étude lui soit consacrée. En effet, sur un plan purement théorique, il paraissait intéressant de parvenir à proposer une définition unitaire de l'abus contractuel, entreprise à laquelle la doctrine contemporaine avait renoncé, la jugeant périlleuse, peu réaliste voire inutile. Mais au-delà de ce qui pouvait, au départ, constituer une sorte de défi, cette démarche semblait d'autant plus nécessaire que, paradoxalement, l'utilisation grandissante de l'abus a régulièrement constitué l'occasion pour les auteurs de dénoncer cette manifestation de l'arbitraire des magistrats. C'est pourquoi une éventuelle définition unitaire de l'abus contractuel supposait une délimitation précise des conditions de sa caractérisation, afin de réduire le risque d'insécurité juridique, traditionnellement attaché à ce concept. A cet égard, il paraissait indispensable de faire un état des lieux le plus exhaustif possible des différents abus existant dans le processus contractuel, ce qui a conduit à l'exposé de ses manifestations plurales (Partie1), avant d'entreprendre une tentative de reconstruction et d'en proposer une conception unitaire (Partie 2). L'étude du droit positif révèle une absence générale de cohérence dans les manifestations de l'abus. Toutefois, quelques orientations se dégagent de son utilisation accrue : d'une part, le phénomène de propagation jurisprudentielle de l'abus accompagne une multiplication de ses consécrations légales et, d'autre part, une distinction générale semble pouvoir être opérée entre l'abus envisagé à titre de sanction d'une norme de comportement et l'abus considéré comme un simple correctif aux excès contractuels. Mais, outre ces quelques enseignements, les multiples manifestations de l'abus se révèlent surtout source d'incertitudes, voire de contradictions. La principale raison de ce désordre tient sans doute à un phénomène plus général de renouvellement de notre façon d'appréhender le contrat. La conception volontariste de ce dernier semble devoir céder du terrain à une conception solidariste. Or si le constat d'une prise en compte renforcée de l'équilibre contractuel ne semble aujourd'hui plus contestable, une question récurrente reste en suspens relativement aux moyens d'atteindre cet objectif. A cet égard, de nombreux concepts entrent en concurrence les uns avec les autres et se confondent parfois : aussi en est-il de l'abus, de la bonne foi, de la cause, de la faute ou encore de la proportionnalité. C'est pourquoi une conception unitaire de l'abus sur le plan contractuel ne pouvait s'opérer que par opposition à d'autres concepts auxquels celui-ci a parfois pu - abusivement - être rattaché. Cependant, cette volonté de parvenir à dégager une définition nouvelle de l'abus semblait particulièrement délicate, au regard du manque de cohérence relevé quant à ses multiples manifestations en droit positif. Toutefois, en replaçant cette étude en parallèle avec l'évolution contemporaine du droit des contrats, il apparaît que la conception classique de l'abus - attachée à la prise en compte du comportement de son auteur - est amenée à disparaître en se diluant dans l'article 1134, alinéa 3, du Code civil. L'abus se présente donc sous un jour plus objectif, comme un simple correctif aux excès contractuels. Dès lors, l'élaboration d'une conception unitaire et renouvelée de l'abus ne se heurte plus à de véritables obstacles et devient un instrument d'équilibre ménageant au mieux les deux impératifs antagonistes que sont la justice contractuelle et la sécurité juridique. En définitive, l'abus peut être envisagé comme une notion objective, destinée à ne jouer que de manière secondaire - c'est-à-dire si les contractants n'ont pas violé l'obligation de bonne foi - et exceptionnelle, quand le contrat apparaît manifestement déséquilibré ou lorsque l'application d'une prérogative conduit à des conséquences inéquitables. Ainsi compris, l'abus se conjugue harmonieusement avec l'exigence de bonne foi - elle aussi strictement définie - ce qui permet non seulement de sanctionner les comportements anormaux des contractants mais aussi d'agir directement sur la structure du contrat.

The results of this work were sent to the European Commission and have already been published in French. The English translation is now being published by sellier.elp. This work could contribute to the wider European project. The part on the guiding principles could be a component of the CFR, in the form of "black letter" model rules or recitals. The part on terminology is, in itself, useful for the elaboration of the final various linguistic versions of the CFR. It finds its place within the materials which will accompany the model rules. Last but by no means least, the revised version of the PECL should be considered by the European institutions as an alternative set of model rules on contract law.

Principle of good faith and fair dealing motivate a variety of theoretical bases in order to overcome the legal consequences of financial crises.
