The authors' central claim, however, is that corporate (or company) forms are fundamentally similar and that, to a surprising degree, jurisdictions pick from among the same handful of legal strategies to address the three basic agency issues. This book explains in detail how (and why) the principal European jurisdictions, Japan, and the United States sometimes select identical legal strategies to address a given corporate law problem, and sometimes make divergent choices. After an introductory discussion of agency issues and legal strategies, the book addresses the basic governance structure of the corporation, including the powers of the board of directors and the shareholders meeting. The theory presented in this book stems from research carried out by the authors concerning the formulations of differential equations describing explosive deformations of metals. In such processes, elasticity equations are used in some zones, whereas hydrodynamics equations are stated in other zones. Plastic deformations appear in transition zones, which leads to residual stresses. The suggested model contains some relaxation terms which simulate these plastic deformations. Certain laws of thermodynamics are used in order to describe and study differential equations simulating the physical processes. This leads to the special formulation of differential equations using generalized thermodynamical potentials.

The iPod's clean gadgetry has made simplicity hip. But sometimes we find ourselves caught up in the simplicity paradox: we want something that's simple and easy to use, but also does all the complex things we might ever want it to do. In The Laws of Simplicity, John Maeda offers ten laws for balancing simplicity and complexity in business, technology, and design—guidelines for needing less and actually getting more. Maeda—a professor in MIT's Media Lab and a world-renowned graphic designer—explores the question of how we can redefine the notion of "improved" so that it doesn't always mean something more, something added on.
