Sin embargo, las normas sobre la compraventa del derecho común no calzan con este tipo de operaciones mercantiles empresariales. Así pues, se expone una propuesta legislativa, que se introduciría en el Código Civil, para facilitar la tipificación del contrato de compraventa de la empresa, en el que no solo se transfieren derechos de propiedad, sino también cualesquiera otros derechos, como el usufructo, los créditos personales, los derechos sobre el título de crédito o los valores mobiliarios como intangibles o derechos intelectuales, así como los pasivos.

Book excerpt: Si el Derecho civil es el Derecho privado común, ya que regula las relaciones entre todos los particulares (familiares, matrimoniales, reales, etc.), el Derecho mercantil es el Derecho privado especial, pues tan sólo regula las relaciones entre ciertos particulares: los empresarios; siguiendo, como sistema de prelación de fuentes, con respeto siempre a la Constitución española como norma suprema: 1o) la legislación mercantil (Código de Comercio (1885); leyes especiales; y normativa comunitaria); 2o) los «usos de comercio»; y 3a) el Derecho común (Código Civil). Puesto que su fin es regular las relaciones jurídicas que surgen en el seno de una actividad empresarial, el Derecho mercantil se ocupa de: 1) Delimitar al sujeto principal de esas relaciones, esto es, al empresario; 2) fijar sus obligaciones profesionales (Estatuto Jurídico del Empresario); 3) establecer unas normas para la protección de los elementos materiales que utiliza el empresario en el ejercicio de su actividad (Propiedad Industrial); 4) regular los instrumentos jurídicos del tráfico mercantil, es decir, los que emplea el empresario para conseguir la finalidad propia de su actividad, y entre ellos, principalmente, los contratos mercantiles; 5) regular el procedimiento en caso de insolvencia empresarial, esto es, el llamado «concurso de acreedores»; y 6) finalmente, como pieza separada del sistema, regular las instituciones jurídicas de la navegación marítima y aérea, que presentan diferencias en relación al tráfico mercantil terrestre. 1.
