Book excerpt: Co-determination is not only a political, social and legal issue, it is also an issue of great economic importance. However, there is no consensus what the economic effects of co-determination are. There are vehement proponents for and equally dedicated opponents against co-determination in the economic profession. Therefore, in the first two sections the main economic arguments for and against co-determination will be presented. In section 3 a special critique against mandatory co-determination will be analysed: If co-determination is economically (in the sense of Pareto) efficient, why is it not introduced voluntarily? Section 4 presents the most important rules of the co-determination laws in Germany. In Germany co-determination is a very important issue and Germany is also the country for which the most empirical research exists. There is special emphasis on the difference between board-level co-determination and plant-level co-determination by works councils, which is important for an empirical evaluation of the economic effects of co-determination. Section 5 contains the available empirical evidence, in particular, econometric evidence concerning the economic effects of board-level co-determination in Germany. Section 6 includes the same for plant-level co-determination.

Book excerpt: We provide a comprehensive overview of codetermination, i.e., worker representation in firms' governance and management. We cover the institution's history, implementation, and the best available evidence on its economic impacts. We argue that existing quasiexperimental estimates suggest that codetermination has zero or very small positive effects on worker and firm outcomes at the partial-equilibrium firm level. In addition, we test for general-equilibrium effects of codetermination laws using novel cross-country event studies exploiting a series of codetermination reforms between the 1960s and 2010s, and find no evidence that codetermination laws shift aggregate economic outcomes or the quality of industrial relations. We offer three potential explanations of the institution's limited impact. First, existing codetermination laws convey relatively little authority to workers. Second, countries with codetermination laws have high baseline levels of informal worker involvement in decision-making, independently of formal codetermination. Third, codetermination laws may interact with other labor market institutions, such as union representation and collective bargaining. We close by discussing implications of these facts for recent codetermination proposals in the United States.

Because of the need for greater involvement of workers in changing production systems, as well as frustration with existing structures of workplace regulation, the search has begun for new ways of providing a voice for workers outside the traditional collective bargaining relationship. Works councils—institutionalized bodies for representative communication between an employer and employees in a single workplace—are rare in the Anglo-American world, but are well-established in other industrialized countries. The contributors to this volume survey the history, structure, and functions of works councils in the Netherlands, Germany, France, Spain, Sweden, Italy, Poland, Canada, and the United States. Special attention is paid to the relations between works councils and unions and collective bargaining, works councils and management, and the role and interest of governments in works councils. On the basis of extensive comparative data from other Western countries, the book demonstrates powerfully that well-designed works councils may be more effective than labor unions at solving management-labor problems.

Book excerpt: The idea that a corporation's employees should be allowed to elect some of the corporation's board members, a system known as codetermination, has moved to the forefront of U.S. corporate law policy. Elizabeth Warren's Accountable Capitalism Act calls for employees of large firms to elect 40% of all board members. Bernie Sanders's Corporate Accountability and Democracy Plan goes even further and states that workers should elect 45% of board members.Both Warren's and Sanders's plans are broadly similar to the German law on codetermination, which for many decades has allowed employees of large German corporations to elect up to half of all board members. It is therefore unsurprising that Senator Sanders points to Germany's successful economic development as evidence that economic progress and mandatory codetermination can go hand in hand.However, this Article argues that codetermination promises to be a poor fit for U.S. corporations. While Germany arguably reaps significant benefits from codetermination, legal, social, and institutional differences between Germany and the United States make it highly unlikely that the United States would be able to replicate those benefits. Furthermore, the costs of codetermination would probably be much higher in the United States than they are in Germany.
