Pourtant certaines entreprises résistent mieux que d'autres, limitant ainsi la propagation, et l'efficacité des mécanismes de gouvernance est souvent avancée comme une des explications du phénomène. Ce présent travail porte sur la crise boursière asiatique. Sur un échantillon de 19 pays émergents, on observe que la nature du cadre juridique ne permet pas d'expliquer nettement la résistance à la transmission des crises dans certains pays. On recherchera d'autres facteurs explicatifs dans les entreprises elles mèmes et en particulier dans les mécanismes de gouvernance. Ceux-ci sont appréhendés par des variables aujourd'hui classiques, mais qui n'étaient pas encore reconnues dans le monde des affaires lors de la crise asiatique. On a pu ainsi observer l'intention de bonne gouvernance qui prévalait dans certaines entreprises. Les résultats montrent que la qualité de la gouvernance joue bien un rôle d'amortisseur dans la propagation des crises.

Book excerpt: Le but de ce travail de recherche est d’étudier l’efficacité des mécanismes de gouvernement d’entreprises comme amortisseurs de la propagation de la crise. Deux approches sont développées. La première approche rattache la réalisation de la crise à la défaillance de l’environnement légal (Johnson et al 2000). La deuxième approche place la crise boursière dans le cadre de la défaillance des mécanismes internes de gouvernances (Mitton 2002, Claessens et al 2000 et Sang et Il Chong 2005). Dans le cadre de la première approche, nous menons une étude empirique sur un échantillon de 19 pays émergents. Nous parvenons à montrer deux principaux résultats. Premièrement, la modélisation des volatilités conditionnelles des séries de rendements financiers selon la protection juridique des actionnaires minoritaires, les tests univariés et les tests multivariés suggèrent d’une part, la variabilité de la variance conditionnelle des rendements financiers et d’autre part, la persistance de ses variations dans le temps pour tous les pays en dépit de leur origine juridique ou de leur degré de protection accordée aux actionnaires minoritaires. La protection forte des actionnaires minoritaires et l’appartenance des pays à l’origine coutumière sont incapables seules d’expliquer la capacité du pays à amortir la crise. Deuxièmement, nous montrons que l’application des règles de droit telle que évaluée par l’efficacité judiciaire est un mécanisme puissant permettant de limiter la transmission de la crise. Depuis le déclenchement des crises financières, la difficulté d’aujourd’hui ne consiste pas tant à élaborer de nouvelles lois et règlementations en matière de gouvernance des entreprises - la plupart des pays en développement en sont déjà dotés sur le papier- qu’à les appliquer et à les faire respecter...
