Book excerpt: This book represents a response to a relative lack of academic research into corporate governance and especially corporate governance disclosure in the Middle East and North Africa (MENA). Specifically, the author explores recent developments in corporate governance disclosure produced by Libyan commercial banks. Along with other corporate governance mechanisms, disclosure plays an essential role in discharging accountability to and protecting shareholders, enhancing corporate performance and reducing the risk of financial crises. In order to improve corporate governance disclosure, it is necessary to understand the context in which it takes place. The MENA countries have unique characteristics, and those involved in the Arab Spring have been affected in different ways. This book provides up to date research into corporate governance disclosure in the context of Libya following the Arab Spring. The banking sector plays a crucial role in the Libyan economy and has specific characteristics which make corporate governance more important than in other sectors, yet research in this sector is rare. Furthermore, the banking sector in Libya has seen significant corporate governance reforms in recent years. As one of the most significant oil producing countries, Libya’s political and business environments have been dramatically affected by the Arab Spring. The author discusses how banks have responded to these reforms and the ways in which their corporate governance disclosure has evolved.

Book excerpt: This study narratively examines the concept of corporate governance in Libya from a political, economic, banking perspective. As such, the study explores how to develop corporate governance in Libya and it presents an overview of the development of Libya's accounting and auditing profession and the measures taken to improve the Libyan banking sector, concentrating on the major role of the Code of Corporate Governance (2010) issued by the Central Bank of Libya. The study concludes that the concept of governance in Libya is still in the early stages of development, and it is inhibited by the weaknesses in board governance, government intervention, and the weak legal and regulatory environment. corporate governance practice in Libya is thus operating within an environment that is very different from that in developed countries. It is crucial, therefore, for developing countries to have their own corporate governance frameworks that consider political, economic cultural and social factors found in each country.

Book excerpt: Corporate governance is currently on the agenda of many countries, and is receiving considerable attention in the business world as well as in the area of academic research, which is an indication of its importance for business development and for society as a whole. A large body of the currently available knowledge addresses this phenomenon from the perspective of the developed economies. Although the knowledge base about corporate governance in developing countries appears to be limited, it is growing. The main aim of this study is to investigate current corporate governance practices, perceptions and obstacles within Libya following the introduction of the Libyan Corporate Governance Code (LCGC). To achieve this aim, the study investigates: first, the nature and extent of applying current corporate governance; secondly, the perceptions of listed companies' staff (senior managers and employees in financial positions) and Libyan financial experts (academics and auditors) regarding the introduction of the LCGC; thirdly, the current obstacles facing the application of LCGC; and, finally, the views of the Libyan regulators and officials in relation to the obstacles identified and how they may be reduced. In order to accomplish the research objectives, a mixed research methodology was adopted: This involved using two types of research methods for collecting data: semi- structured interviews and a questionnaire survey divided into three sequential stages: firstly, interviews were conducted with board members of the companies surveyed; secondly, a questionnaire was distributed to selected staff of the companies surveyed and Libyan financial experts; thirdly, further interviews were conducted with Libyan regulators and officials. The findings of the study revealed that corporate governance in Libya is in its early stages of development and is characterised by a weak legal environment, lack of knowledge about corporate governance, poor leadership, lack of training among directors and weak investment awareness among investors. Therefore, the influence of social, cultural and economic factors is evident. The results also suggest that urgent action is needed in order to facilitate the implementation of a good corporate governance system in Libya.

The conflict that accompanied the revolution had a severe impact on the economy, and international financial institutions have responded to the request of the Libyan authorities to provide policy consultations and technical assistantce to help maintain macroeconomic stability. Libya's National Transitional Council (NTC) has taken steps to promote a peaceful political transition, normalize economic conditions, and set out a national reform agenda. In the short term, the authorities must restore security, bring hydrocarbon production fully online, exercise fiscal discipline, resuscitate the banking system, and maintain macroeconomic stability. Medium-term efforts should focus on capacity building, infrastructure renewal, private-sector development, improving education, job creation, and putting in place an effective social safety net, within a framework of transparent and accountable governance. This paper discusses the risks to economic recovery and measures to promote economic diversification and employment growth.
