Book excerpt: How Reported Board Independence Overstates Actual Board Independence in Family Firms: A Methodological Concern studies board independence in French, German, and UK listed family firms. It focuses on these countries because of their distinct legal and corporate governance systems. While investor protection is strong under UK common law, it is much weaker under French and German civil law. Ownership and control are much more concentrated in France and Germany compared to the UK and the three countries also differ in terms of their board structures. This monograph contributes to the literature both methodologically and empirically. After a short introduction, Section 2 reviews the literature on the influence of ownership and control of families in their firms, with particular focus on the CEO succession decision. The authors suggest that the choice of the CEO successor in family firms is determined by important corporate governance characteristics of these firms, the key determinant being correctly measured board independence. The discussion in this section is critical to support and develop the proposed measure of board independence in family controlled firms. Section 3 focuses on directors' independence. This section begins with a discussion of the recommendations regarding board independence in the codes of best practice of France, Germany, and the UK. This is followed by a review of the literature and the motivation for adjusting directors' independence. The authors present their methodology for the adjusted measure in Section 4, followed by a discussion of the observed differences between conventional and adjusted board independence in Section 5. Finally, Section 6 concludes.

The five countries of Denmark, Finland, Iceland, Norway and Sweden are culturally closely aligned and combine a well-functioning business sector and high GDP with an expansive welfare state and high taxes. What has been well less known outside the Nordic Region is the shared corporate governance model used by companies and for the first time a comprehensive study is available in English to explain this model.The main part of the study is the condensed presentation of the Nordic CG model. It is based on four country reports covering the three EU Member States (DK, F, S) and one EEA Member State (N). Each country report has been drawn up by a team consisting of a legal expert and a corporate governance expert with practical experience. To ensure that the report reflects actual practices, each team was assisted by a reference group consisting of business practitioners with extensive experience from large-cap listed companies and connections to the national CG code committees. To provide an international aspect, the renowned American scholar Ronald J Gilson contributed a comment on the report's findings in a separate chapter.The key observation of the study is that the Nordic CG model allows the shareholder majority to effectively control and take long-term responsibility for the company that they own. The alleged risk of such a system - the potential that a shareholder majority misuses its power for its own benefit at the expense of minority shareholders - is effectively curbed through a well-developed system of minority protection. The result is a governance model that encourages strong shareholders to engage in the governance of the company in their own interest, while creating value for the company and all its shareholders.

This dissertation addresses the resulting research gap on Corporate Governance in Germany from a behavioural perspective and individual agency of the strategic actors in practice. The control and direction activities of the supervisory board are constituted by an explorative qualitative approach and the reconstruction of individual narrative episodes. For this, different methods are combined in the context of a technology firm. This study confirms a fundamental and systematic information dilemma for the German supervisory board members and their limited influence on the strategy actually performed executed by the firm, which has to be controlled by them. It identifies methods for overcoming this dilemma and shows in particular that, in practice, the most effective mediate influence of the supervisors on good corporate management refers to the selection of well-known persons for the executive board, the consistency of normative values and in particular in establishing a constantly re-assessed trust relation. Thus a consistent direction and control is mainly based on "upstream controls", which can actually not be realised by outsiders. This dissertation makes a substantial contribution to the understanding of trust-based Corporate Governance in practice. It provides further indications for overcoming Anglo-American axioms and for the further integration of practical research approaches for a better understanding of two-tier Governance structures in Germany. Furthermore, for practice, this research raises general doubts regarding the effectiveness of two-tier supervisory structures and deterministic strategy perceptions.
