Book excerpt: The corporate world over the past few decades has been plagued with instances of corporate mismanagement which resulted in the collapse of several companies. In Nigeria, several banks have collapsed, with the most recent being in 2018, and these failures have been largely credited to weak corporate governance practices. Banks are key in the development of emerging economies; therefore, good corporate governance of banks has far-reaching implications. To regulate corporate governance in Nigeria's banking industry, the principles-based approach is utilized. However, a critical examination would reveal that it has proven inadequate in achieving the regulatory objectives in light of the current challenges faced. This study proposes a restructure of the current system of regulating governance in the Nigerian banking industry. To achieve this, I engaged in a comparative analysis of the traditional principles-based and rules-based approach to governance regulation, using Canada and the United States as case study. Taking into consideration lessons from this cross-jurisdictional analysis, as well as the peculiarity of the Nigerian banking environment, the study explores new perspectives for regulating corporate governance within Nigerian banks and proposes the adoption of a unique approach.

Inconclusive examination determining CG effect on principal-agent relationship necessitated the study."

Consequently, this resulted to distress and seizure of operating licenses of fifty (50) banks in the country, from 1994 to 2006. This book empirically assessed the relationship between Corporate Governance (CG) and Internal Control System (ICS) in the Nigerian banking industry, with a view to understanding how the effectiveness of control mechanisms can be enhanced; which ultimately will assist in ensuring that corporate scandals, frauds and failures are minimized; different risk exposures of banks mitigated; shareholders' wealth maximized; assets of depositors, shareholders and creditors protected and the value of banks enhanced in Nigeria.

Addressing the corporate governance shortcomings that are believed to have contributed to the recent financial crisis, it explores the interplay between corporate governance and CSR, and includes examples of company practice to show how such changes affect the practices of shareholders, boards of directors and regulators. In particular, the book examines shareholders’ activities, their different investment strategies, specific reporting expectations and the submission of proposals to the annual meeting. Further, for boards of directors it explores the need to revise their tasks with respect to the criteria for executive appointments, their corporate strategy, performance measures and diversity recommendations, while for directors it provides recommendations to reconsider the structure of executive pay and performance incentives. Lastly, for regulators the book investigates the need to introduce new laws addressing, for instance, the need for integrated reporting, limiting the voice of short term oriented shareholders and providing guidelines for executive compensation.

Book excerpt: In the corporate governance of banks, bank boards of directors play a significant role by monitoring and advising management in the formulation and implementation of strategies. Our hypothesis is that certain characteristics of bank boards (size, composition and proactiveness) determine the effectiveness of the boards in carrying out its monitoring and advisory roles. After controlling for heterogeneity and endogeneity using the two-step system estimator, we find that admitting new members into the board improves bank performance up to a certain point 'efficient limit' where continuous increase of the board size begins to destroy value. We observe an inverse relation between board meetings and bank performance which suggest to us that bank boards that meet more often are only reacting to bank's poor performance. This challenges the widespread belief that frequent board meetings play a role that is more proactive than reactive. We agree that bank boards strategically alleviate the problems of governance in banks and reduce the weakness of other corporate governance mechanisms, especially the regulatory and external governance mechanism. Hence empowering boards through incentive packages and enlarged responsibilities with authority to monitor, sanction, reprimand and advise management will be the way forward for the Nigerian banking sector.

The banking industry participates in financial intermediation by bringing together both the surplus and deficit units of the economy thus accentuating the relevance of good corporate governance practice. Variables such as the independence, objectivity and integrity of the auditor are identified. This paper looks at the practice of good corporate governance in the banking industry. A field survey based on stratified sampling technique was used in the execution of the study. Four hypotheses were tested using the chi square non parametric test on data obtained from the field survey. The major findings are that banking institutions design their own codes of corporate governance based on the SEC and CBN codes and the independence, objectivity and integrity enhances the external auditors' role in ensuring the accountability function of corporate governance in the Nigerian Banking industry. The major recommendations are that the banking industry should set up a Shareholder's Investors' Grievance Committee and the external auditors should also issue a certificate of compliance with corporate governance requirements.
