This report assesses the corporate governance landscape in the MENA region by identifying challenges and proposing policy options for reform. The findings of the report are based on an analysis of policies and practices in four thematic areas: boosting access to finance and capital markets, improving transparency and disclosure, achieving gender balance in corporate leadership and enhancing the governance of state-owned enterprises in MENA. Overall, the report finds that MENA economies have made progress in strengthening corporate governance frameworks in recent years, but that the region still faces challenges in adopting and implementing corporate governance measures that support economic efficiency, sustainable growth and financial stability.

While some exchanges in the region have only been established in the past five years, others have been active since the 19th century. And while regional bourses have emerged in very different economic contexts, they have facilitated the growth of capital markets in the region, which currently feature over 1400 listed companies. They have also contributed to improving the transparency of public markets, which is especially important following the events of the Arab Spring, which has seen calls for better transparency in the region. A number of important themes concerning the role of corporate governance in the development of Arab capital markets are explored in this report, providing orientations for individual stock exchanges on how good governance practices among issuers can be encouraged. The report points out that the role of Arab bourses in promoting corporate governance has been varied, depending on the division of regulatory and enforcement responsibilities between stock exchanges, securities regulators and other bodies.

The paper overviewed the governance models of the corporate sector and the securities market of eleven countries in the region out of eighteen. It is evident that MENA markets in the recent decade undergone number of reforms and restructuring on legislative and infrastructure fronts. However, the key issue is the gap between legislative framework and enforcement. The paper recommends that traditions and cultures should be allowed implicitly to choose their acquaintance with the number reforms measures that yield to better corporate governance practices. Shocking the system with new wave of ideas might create resistance to reforms and deterioration. Also, the paper recommends banks should play their proper role as main stakeholders as they are far developed compared to the securities markets in the region.

As one of the most significant oil producing countries, Libya’s political and business environments have been dramatically affected by the Arab Spring. Book excerpt: Several empirical studies showed that there exist significant differences in corporate ownership structures between different countries. Two different system s of corporate governance seem to have evolved in the past two decades. One group of countries exhibits a high level of ownership structure, illiquid stock markets, strong relations between companies and banks, a high degree of equity stakes hold by ot her companies (crossholdings). The system of these countries is termed as insider sy stem. The other group is characterized by widely dispersed ownership, liquid stock mar kets, a low level of inter- corporate crossholdings, and an active market of corporate c ontrol. The system in those countries is known as outsider system. In this project I dis cussed about the characteristics of the two systems as well as their strengths and weak nesses. I used the United States as an example of countries with outsider systems, and Jap an as an example of countries with insider systems. The U.S. corporate governance system that performed well in the past has recently been heavily criticized as a result of corporate failures like that of Enron. Japanese economy is also passing in a period of stagnation, and it is argued tha t corporate governance system in Japan is the cause of this decline in economic performance. So, reforms are needed to both systems in order to avoid corporate failures in the future and have better economic performance.
