Download or read book MANAGEMENT OF RISKS UNDER THE COMPANIES ACT 2013 written by Ram K Narayan and published by Notion Press. This book was released on 2020-10-10 with total page 306 pages. Available in PDF, EPUB and Kindle. Book excerpt: The Hon. Minister of Finance and Corporate Affairs introduced on 6th March 2020 in the Lok Sabha, the Companies (Amendment) Act, 2020 {Bill No.88 of 2020}. In the statement of Objects and Reasons for introducing the Bill, she stated, inter alia that as part of the constant endeavor of the Government to facilitate greater ease of living to law abiding corporates certain provisions of the Act are proposed to be decriminalized to provide further ease of living for corporates in the country. Several provisions of the Act related to defaults which lacked any element of fraud or do not involve larger public interest were decriminalized. Yet the continuing “less serious punishments” are serious enough for the Directors to be complacent. There are still 26 sections providing for punishment under section 447 as Cognizable Offence; 20 sections attracting Imprisonment and Fine; 8 sections imposing Imprisonment or Fine or Both; and 1 section providing for Imprisonment or Fine. This book can guide those Directors who have less knowledge on the compliance requirements under the Act, its rules and secretarial procedures. It is believed that this handbook shall enthuse them to adopt personal risk mitigation measures such as good reading of the agenda papers, seek additional information from companies to prepare and effectively participate at the meetings and where considered appropriate obtain expert independent advice. The book will also be of value to the whole-time directors and officers of the company, candidates preparing for on-line proficiency test for registration of Data Bank of Independent Directors, company secretaries whether in service or in practice, CFOs, practicing chartered accountants while conducting audit of companies, lawyers, offices of the Ministry of Corporate Affairs such as Registrar of Companies, Regional Directors, students and teachers of company law in lnstitutions etc. The book highlights punishments under the following categories: (1) For Fraud under Section 447: {Cognizable Offences}. (9) Vacation of Office by Directors and Disqualification from holding Office in any Company. (10) Personal Liabilities for Damages – Directors, Promoters. Members, Expert, Officers in Default. (11) Risk of Punishments to Non-executive Directors (12) Other Punishments

Download or read book Managing Innovation in the Arts written by Marian Fitzgibbon and published by Bloomsbury Publishing USA. This book was released on 2001-09-30 with total page 234 pages. Available in PDF, EPUB and Kindle. Book excerpt: A main justification for public funding of the arts is to protect the arts from the marketplace and to encourage experimentation and innovation. But little is known about the actual innovation process. Is funding the only issue? Protecting the arts from the marketplace has up to now been the main item in any discussion of artistic creativity. This publication of Fitzgibbons carefully researched investigation provides a privileged insight which both fills out and refocuses the picture. She examines the operation of three performing arts companies from Ireland, a country whose reputation for creativity bears little relation to its small size and population, and finds that innovation in the arts requires uncommon dedication, persistence and-yes-sacrifice, qualities that have been blurred by the 'mythology' of what makes for artistic innovation. She studies the social and organizational context of most arts work today, with emphasis on the effort that goes into the achievement of innovation, and comes away with a new vocabulary and grammar for managing it. Innovation in the arts is an arduous, stressful process, as it is in all areas of high achievement, but the perception most people have of it is misinformed, says Fitzgibbon. Creativity management is confused with what is commonly known as creative management. She shows it is possible to identify a number of factors that bear heavily on innovation in arts organizations. So far the first study of the management of arts innovation specifically, Fitzgibbon's work offers a privileged and pragmatic insight into the workings of highly innovative arts organizations. The result is a graphic analysis that strips innovation down to its essentials and begins to answer vital questions. This work is essential reading for arts policy makers, managers, administrators and those who would be donors, and for serious students of arts and culture management in the academic community.

Download or read book Business Capital 101 written by Roberta A. Pellant and published by Roberta Pellant Consulting. This book was released on 2021-04-26 with total page 233 pages. Available in PDF, EPUB and Kindle. Book excerpt: The purpose of this book is to define the process and protocols of the TASASS™ score. It also serves as the textbook for the USCGA™ TASASS™ certification course. It was written as a manual for students, entrepreneurs, finance professionals, advisors, and consultants. It defines the types of capital available and documentation requirements to achieve “success” in the capital marketplace. "Success" is defined as a trifecta of: 1) the enterprise acquiring capital; 2) the business becoming successful and 3) the capital source(s) receiving a positive outcome. Business Capital 101 provides clarity in an otherwise complicated environment of gaining access to capital for qualified enterprises. Our mission is to provide a compliant, professional, time-sensitive, cost-conscious, and realistic approach to the business finance process. We accomplish this mission by the implementation of a due diligence process known as the TASASS™ score. The TASASS™ score was developed as a result of a study of more than 300 enterprises engaged by me since 2008 wherein, I was able to determine the more than 300 common attributes amongst successful and failed ventures. The TASASS™ score is a combination of a Transaction Analysis™ (TA), a Situation Analysis™ (SA) implemented in a Software (S) that results in a Score (S). The TASASS™ score is a standardized objective due diligence process that serves capital markets during the enterprise vetting phase of capitalization. The software was created based on a 10-year study of 300 applicants. The goal of the proprietary Software as a Service (SaaS) is to identify opportunities that achieve a TASASS™ score in excess of 92.5%, known as “TASASS Prime™.” TASASS™ is an acronym for: Transaction Analysis Situation Analysis Scoring Software™. The TASASS™ score was developed by Tony Drexel Smith through the financial and human capital resources of: TASASS, Inc, The Association of Blue Moon Advisors, Blue Moon Advisors, Inc., Blue Moon Consortium, Inc., US Capital Global, SUMATICI, Inc., and TD Smith & Associates. Enterprises that have raised capital successfully have the following commonalities: they sought the right type of capital for their stage of development and ability to repay; they created documentation that speaks to the correct capital; and they earned a minimum of 925 out of the 1,000 points possible in our TASASS™ score.
