Well before the outbreak of the COVID-19 pandemic, the overall evidence showed that capital markets in Italy were still underdeveloped. In fact, the past decade was characterized by serious weaknesses in the structure and functioning of these markets. The lack of a robust financial infrastructure of capital markets, the need to strengthen the investor base, and flaws in the intermediation structure of capital markets were clear factors of competitive disadvantage for Italy vis-à-vis other European countries. The advent of major financial scandals in the early 2000s (Enron, WorldCom, Ahold, Parmalat) was followed by turmoil in the financial markets at the end of the decade. The increased power of finance was a common factor singled out in the development of these events - especially shareholder value oriented institutional investors - across advanced capitalist economies. Will the pressures of financial market globalization force companies to converge on a shareholder-based model of corporate governance? In Contingent Capital Michel Goyer highlights the importance of the institutional context in which companies are embedded, focusing on the divergence in the allocation of capital by shareholder-value oriented institutional investors in Europe's two largest non-liberal market economies: France and Germany. The major difference between these two economies is that France has proven to be twice as attractive to short-term, impatient shareholders with a short-term horizon as compared to Germany - a disparity that disappears for investors with a longer-term term horizon. These empirical findings highlight the importance of providing a sophisticated differentiation between different categories of institutional investors in order to assess the impact associated with the greater prominence of finance. Goyer points to the importance of firm-level institutional arrangements in the process by which companies coordinate their activities as the key variable for understanding the investment allocation of impatient investors. The implication is that the governing of corporations is not about whether or not strategies of shareholder value are being adopted - but rather what types of strategies of shareholder value are being pursued.

Book excerpt: This book analyses the widely-held view of the merits of the 'bank-based' German system of finance for investment, and shows that this view is not supported by evidence from the post-war period. The institutional features of the German system are such that universal banks have control of voting rights at shareholders' meetings due to proxy votes, and they also have representation on companies' supervisory boards. These features are claimed to have two main benefits. One is that the German system reduces asymmetric information problems, enabling banks to supply more external finance to firms at a lower cost, and thus increasing investment. The other is that German banks are able to mould and control managements of firms on behalf of shareholders, and thus ensure that firms are run efficiently. This book assesses whether empirical evidence backs up these claims, and shows that the merits of the German system are largely myths.

This book examines the practical problems faced by the Universal Multinational banks (UMNBs) in the fields of strategic planning and business development. It explains the common constraints encountered by the UMNBs, showing that, whether they like it or not, current market pressures are governing their policies in all the developed economies. Through studying the management structures and business policies of these banks this book provides a much clearer picture of their activities in the world economy. Initially, it concentrates on the UMNBs of the USA since they have provided a strategic model for other global banking concerns. The UMNBs of Japan, Britain, France, Germany, Canada and Switzerland are then discussed to establish their similarities and differences: case studies are included at the end of each chapter to illustrate and reinforce the points made in the preceding text. Although written in 1984 the author successfully predicted many of the subsequent developments in the field of information technology and competition in world markets, which led to the emergence of global financial enterprises.
