The study clearly communicate that the banks pursuing M&As as growth strategy must consider the Human Resources or more precisely employees as a main factor for the success of the M&A process. In absence of proper attention it may lead to unwanted consequences like the high rate of attrition, poor morale, and negative attitudes that can affect the customer service, and decrease in efficiency and productivity.

Exclusively the concept of employee satisfaction, commitment and turnover intentions were examined in relation to banks that were being merged in Pakistan. Variables such as psychological effects, cultural conflicts, job insecurity were examined for a possible significant or insignificant relationship to employee job satisfaction, commitment and turnover intentions. It was hypothesized that; employees were dissatisfied as a result of merger, employees did not feel committed after merger and hence they intend to leave the job. The quantitative method of data collection that is questionnaire was used by the researcher. The outcomes were discussed under provisions of research questions developed in the study. This is done through a discussion of the conclusion drawn from the findings. It was thus wrapped up that when an acquisition is made, management should not only focus on the end result, but also pay attention to the human resource factors that can lead to the success or failure of merger.

Several U.S. organizational mergers failed to sustain market competition and retain employees. Most consolidated and merged banks in Nigeria are in distress and have failed to increase organizational performance. Currently, organizational leaders are facing challenges regarding how to integrate two or more merged cultures to maintain employee commitment, job satisfaction, and employee retention. The author used a quantitative correlational and regression study that collected data related to a merged bank in Abuja, Federal Capital Territory (FCT) of Nigeria, to examine if a relationship existed between organizational culture and organizational performance. The study results indicated that a measure of the combination of cultural traits (mission, involvement, consistency, and adaptability) had a significant relationship with each of the organizational performance measures (employee commitment, job satisfaction, and employee retention). The need to provide solutions to the failed mergers and strategies for sustaining higher performance in partnership mergers and acquisitions becomes imperative. In this book, Henrietta Okoro integrates organizational culture traits with insights from research to provide readers with distinctive strategies to improve and sustain employee retention, job satisfaction, and higher organizational performance. Book excerpt: Merger and acquisition (M&A) is considered a competitive strategy to keep a firm at par in this era of globalization. M&A has changed the banking sector in the Philippines and increased competition with foreign banks. Bangko Sentral ng Pilipinas (BSP) believes that the M&A shall result in stronger players that will stabilize financial industry. Despite optimistic expectations on M&A, important body of research suggests that between 50% and 80% of all M&As are unsuccessful due to weak management of human capital. Human capital is one the most important resources firms rely on to gain competitive advantage in the marketplace. As such, the management needs to consider the fact behind the influence of human factors on the success or failure of an M&A. However, benefits of M&A in terms of human factors are not that evident; therefore, there is a need to study the effect of merger issues to employees’ attitude and behavior. Hence, the objective of this study is specifically the identification of the effects of critical human issues namely managerial communication, managerial support and organizational culture difference to non-financial measurements of employee turnover and job performance through a descriptive-correlation research design. A random survey of 350 employees of a merged universal bank in the Philippines is conducted. Levene-Welch-Games-Howell Post-Hoc Multiple Comparison is used to examine if perceived differences in turnover intention were associated with managerial communication, managerial support and organizational culture difference. The results show that there are significant differences in opinion of employees in turnover intention associated to managerial communication, managerial support and organizational culture differences at 5% level of significance. Results indicate that employees do not seek other employment if there is high managerial communication and support, and similar organizational culture from previous affiliation to presently merged bank. Binary Logit Regression with bootstrap is used to examine effect of managerial communication, managerial support and organizational culture difference to job performance, and the influence of demographic profile on turnover intention and job performance. The results show that management communication, management support and organizational culture difference influence good or poor job performance. Results also indicate that turnover intention and job performance differ per given demographic profile.

In many countries the banking sector is still highly fragmented, especially in Germany and Italy. EU Banks need to grow in size if they want to be able to compete globally with financial titans such as Citigroup. This study aims at analysing the key drivers and success factors for external growth via Mergers and Acquisitions (M&A) in the European banking sector. After explaining the theoretical background of Mergers and Acquisitions (Chapter 2), the study examines the current condition of the EU banking sector followed by a more detailed view on the main markets and players (Germany, UK, France, Spain, Italy) focussing on their potential role in a future consolidation process (Chapter 3). It seems that important obstacles for consolidation have been removed and banks may indeed engage in domestic and even cross border M&A. A detailed comparison of Europe’s largest banks will complement this section. By analysing paid premiums in the five key European economies, we will draw conclusions on the influence of market structure on the potential for consolidation. In Chapter 4, the Banco Sabadell - Banco Atlantico case is analysed and discussed as an example of a domestic bank merger. Emphasis is put on the logic behind the operation, performance measurement and its strategic impact. The question, if value has been created for shareholders as well as other stakeholders, will be addressed. This recent case (2004) only allows for a preliminary analysis of the success of the transaction, particularly in terms of achieved synergies versus expected synergies. The case evidences typical sources for higher synergies in domestic M&A but reveals also important sources of synergies that would apply in cross border operations. In the final conclusion (Chapter 5), the market analysis is put into perspective to recent developments and briefly compares it with the US Banking market. Key observations from the case study are summarized and finally this section aims at developing different scenarios for a future consolidation within the European banking sector.
