This handbook aims to ensure that the new opportunities for employee representation at European level which these new SE rules provide, are seized. It has been designed first and foremost to help practitioners to prepare and conduct negotiations on agreements on employee involvement in SEs. The handbook introduces the SE and its mechanism of employee involvement. It explains the negotiation procedures and provides ‘tips and tricks’ for a decent preparation of negotiations. Based on the experience of several experts, it gives an overview of key aspects of an SE agreement and includes an extensive set of overviews, graphics and comparative tables.

In order to make the SE a functional instrument for entrepreneurs and investors, as well as to ensure the effective application of European law, it is necessary to pass national implementation measures by then. National legislators have the opportunity as well as the challenge to shape, in some respect, a national model of the SE which would be attractive for investors and would influence their decision as to where the company be located. Thus, the coming into force of the SE-Regulation will also give "the starting shot" for the competition between national legislators with regard to the law of the European Company. The aim of the present book is to provide the first indications in those national regulations specifically concerning the SE. Although no national law has so far been finally adopted, the first legislative steps have already been taken in many Member States and first drafts have been published. These drafts are presented in the book by the national experts. Moreover, the authors from Member States where no official drafts so far exist, express their personal reflections on how the specific regulations of national law would and should look. Given the fact that in October 2004, when the SE-Regulation comes into force, the European Union will be enlarged by 10 new Member States, the reports cover also some of them, i.e. Poland, Hungary and the Czech Republic.

Book excerpt: Board Level Employee Representation in Europe analyses the role, activities and networking of board level employee representatives in sixteen European countries and their counterparts operating in companies that have adopted European status. Board level employee representation is viewed as a key element of worker participation in Europe, but there has been only limited international comparative research that establishes what board level employee representatives do and how their activities vary between countries. Based on a large-scale survey distributed to board level employee representatives (circa more than 4,000 respondents), this study identifies the personal characteristics and industrial location of board level employee representatives, what they do and how they interact with other parties within and outside of the company. This study fills in a knowledge gap at a time when policy debates are considering stakeholder models of corporate governance as a means on the way out of the crisis and the achievement of sustainable economies. The book allows direct comparisons between clusters of countries for the first time, as the same survey instrument has been employed in all the participating countries. The research findings demonstrate a large variation in what constitutes board level employee representation in practice, including the relations between board level employee representatives and parties within and external to the company, and the pattern of influence of board level employee representatives on strategic company decision-making. Aimed at practioners, researchers and policymakers alike, this book makes a vital contribution to the field, and will be the definitive work on board-level employee representation for the foreseeable future.

This year’s edition of Benchmarking Working Europe focuses on what we see as one of the root causes of the great recession, namely the issue of inequalities going far beyond income inequality. Growing inequalities lead to growing feelings of injustice and lack of social cohesion both within and across countries, and at the same time, to a loss of human potential in its broadest sense. In this respect, this publication raises serious concerns as to the current direction of social and labour rights in the European Union. Four main messages which we would like to highlight are: 1. Social inequality, in its many forms, is worsening in nearly all EU countries, and not only on account of the succession of financial, economic and debt crises. 2. Between the EU member states, the trend for the poorer economies to catch up with the richer ones, leading to greater convergence has been halted and even reversed. 3. The European discourse that new post-crisis growth will solve the temporary phenomenon of rising inequalities is fundamentally flawed. The link between growth and equality has snapped and the tide is no longer rising for all. 4. The political remedies must in future focus on a redistribution and ‘deconcentration’ of wealth.
